1.Scope and Acceptance
This Acceptable Use Policy (“AUP”) is published by SGSuperFans Inc., a corporation incorporated under the laws of the Province of Ontario, Canada (“SGSuperFans,” “we,” “us,” or “our”). It governs the access to and use of the SGSuperFans website, mobile applications, application programming interfaces, and all related services and features (collectively, the “Platform”) by all users, including creators, fans, subscribers, managers, businesses, and guests (collectively, “you” or “users”).
This AUP is incorporated by reference into the SGSuperFans Terms of Service and forms a binding part of the legal agreement between you and SGSuperFans. By registering for an account, accessing the Platform, or using any feature or service provided through the Platform, you unconditionally accept this AUP and agree to be bound by its terms. If you are using the Platform on behalf of an organization or business, you represent and warrant that you have the authority to bind that organization to this AUP.
Relationship to Other Platform Policies
This AUP supplements and must be read together with the following additional platform policies, each incorporated herein by reference:
- Terms of Service: The master agreement governing your use of the Platform, including provisions relating to subscriptions, payments, and account management.
- Community and User Agreement: The conduct standards applicable to all user interactions, content posted on public or semi-public areas, and community participation norms.
- Privacy Policy: The terms on which SGSuperFans collects, uses, stores, and shares personal information about users.
- 18 U.S.C. Section 2257 Compliance Statement: The record-keeping and age-verification requirements applicable to creators who publish sexually explicit visual content on the Platform.
- Cookie Policy: The terms governing the use of cookies and similar tracking technologies on the Platform.
Amendments and Updates
SGSuperFans reserves the right to amend this AUP at any time. When material amendments are made, we will notify registered users by email or by posting a prominent notice on the Platform not less than fourteen (14) days before the amendments take effect, except where immediate amendment is required by law or to address an urgent safety or security risk. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the amended AUP. If you object to any amendment, your sole remedy is to close your account and cease using the Platform before the effective date.
2.Eligibility Requirements
Access to and use of the Platform is conditioned on the satisfaction of the eligibility requirements set out in this Section. SGSuperFans reserves the right to refuse registration or to suspend or terminate any account that does not satisfy, or that ceases to satisfy, these requirements.
Age Requirements
You must be at least eighteen (18) years of age to register for an account or to access any feature of the Platform. Persons under the age of eighteen (18) are strictly prohibited from using the Platform in any capacity. SGSuperFans does not knowingly permit access by minors, and any account found to belong to a person under the age of eighteen (18) will be immediately terminated. Regulatory and legal obligations in some jurisdictions may impose higher age thresholds; users in those jurisdictions must satisfy the locally applicable minimum age.
By registering for an account, you represent and warrant that you are at least eighteen (18) years of age. If SGSuperFans has reason to believe, at any time, that you are under the age of eighteen (18), your account may be suspended immediately pending age verification. Failure to provide satisfactory age verification within the time limits set by SGSuperFans will result in permanent account termination.
Jurisdiction and Legal Capacity
You must have the full legal capacity to enter into and be bound by a contract under the laws of your jurisdiction of residence. If your jurisdiction imposes restrictions or requires consents that you are unable to satisfy, you are not eligible to use the Platform. Persons who have previously been suspended or permanently banned from the Platform are not eligible to re-register under a new identity, email address, payment method, or any other means.
Prohibited Persons
- Any person under the age of eighteen (18), regardless of jurisdiction or parental consent.
- Any person who has been previously terminated from the Platform for a violation of this AUP, the Terms of Service, or any other Platform policy, without the express written reinstatement consent of SGSuperFans.
- Any person or entity subject to applicable trade or economic sanctions, including sanctions administered by the Government of Canada, the United States Office of Foreign Assets Control (OFAC), the European Union, or the United Nations Security Council.
- Any person or entity designated as a terrorist organization, foreign terrorist organization, or sanctioned entity under applicable law.
- Any person who has been convicted of a criminal offence involving sexual exploitation of minors, child pornography, trafficking, or similar offences, in any jurisdiction.
3.Account Registration and Security
You are required to provide accurate, complete, and truthful information when registering for an account and at all times thereafter. Your account is personal to you and may not be transferred to or used by any other person, except as expressly permitted by SGSuperFans for business or management account types.
Accurate Information
At the time of registration and in connection with any identity verification processes that SGSuperFans may require, you must provide your true legal name, a valid and active email address, your correct date of birth, and all other information requested. Providing false or misleading information is a violation of this AUP, may constitute fraud or misrepresentation under applicable law, and will result in immediate account termination.
Account Security Obligations
You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any two-factor authentication codes. You must:
- Select a strong, unique password not used for any other service.
- Enable two-factor authentication when offered or required by SGSuperFans.
- Not share your password or account access with any other person, except as expressly permitted for business accounts.
- Notify SGSuperFans immediately at security@sgsuperfans.com if you suspect or become aware of any unauthorized access to your account.
- Log out of your account at the end of each session on any shared or public device.
Single Account Policy
Each individual user may register and maintain only one personal account, unless SGSuperFans has specifically authorized the creation of additional accounts in writing. Operating multiple accounts to circumvent usage restrictions, bans, monetary limits, or verification requirements is strictly prohibited.
Account Activity Responsibility
You are responsible for all activity that occurs under your account, whether or not authorized by you. SGSuperFans is not liable for any loss, damage, or harm arising from unauthorized use of your account where such use results from your failure to comply with your security obligations described above. SGSuperFans reserves the right to suspend your account without prior notice if it detects or suspects unauthorized or anomalous access activity.
4.Content Prohibitions
The following categories of content are absolutely prohibited on the Platform. The prohibitions in this Section apply to all content types, including photographs, videos, audio recordings, live streams, text posts, messages, profile information, metadata, hashtags, and any other user-generated material.
Child Sexual Abuse and Exploitation Material
- Any visual depiction, written content, audio recording, or other material that sexually exploits, abuses, or depicts minors in any manner.
- Any content that sexualizes minors, including content that depicts minors in a sexually suggestive manner even where no explicit conduct is depicted.
- Any content that facilitates, promotes, encourages, or glorifies the sexual exploitation, grooming, abuse, or trafficking of minors.
- Any content, including animated, computer-generated, or illustrated content, that realistically depicts minors in a sexual context, regardless of whether actual minors were involved in its production.
Non-Consensual Intimate Imagery
- Any visual depiction of a person engaged in sexual conduct or in a state of nudity published without the consent of all persons depicted. This includes content commonly described as “revenge pornography” or “non-consensual pornography.”
- Content captured by means of hidden cameras, surveillance devices, or any other covert recording method where the recorded person had a reasonable expectation of privacy.
- Any content that has been shared, threatened to be shared, or used as leverage to coerce, extort, or intimidate any person (commonly referred to as “sextortion”).
Hate Speech and Discriminatory Content
- Content that promotes, glorifies, or incites hatred, violence, or discrimination against any individual or group on the basis of race, national or ethnic origin, color, religion, sex, age, mental or physical disability, sexual orientation, gender identity or expression, or any other protected characteristic under applicable law.
- Content that uses dehumanizing language or symbols associated with hatred, supremacist ideologies, or designated hate groups.
- Content that denies, minimizes, or glorifies genocides, war crimes, or crimes against humanity.
Violent, Threatening, and Graphic Content
- Real-world graphic violence, torture, mutilation, or death, including content presented for gratification, entertainment, or shock value.
- Content that constitutes or contains credible threats of physical violence against any identified or identifiable individual or group.
- Content that depicts, promotes, or glorifies self-harm, suicide, or eating disorders in a manner that could encourage or facilitate such conduct.
- Content that promotes or glorifies terrorism, mass violence, extremist ideologies, or designated terrorist organizations.
- Cruelty to animals, including any depiction of torture, killing, bloodsports, or abuse of animals for entertainment.
Illegal Content
- Content that violates any applicable law or regulation, including laws relating to obscenity, defamation, privacy, intellectual property, consumer protection, and financial services.
- Content that constitutes or facilitates the commission of a criminal offence under the laws of Canada, the United States, or any other applicable jurisdiction.
- Any material that infringes the copyright, trademark, trade secret, or other intellectual property rights of any person or entity, as further described in Section 9 of this AUP.
- Content that discloses or distributes the private, personal, or confidential information of any person without their express consent, including home addresses, identification numbers, medical information, financial data, or private communications (“doxxing”).
Misinformation and Deceptive Content
- Deliberately false or materially misleading health or medical information where dissemination poses a risk of public harm.
- Synthetic or manipulated media (“deepfakes”) that portrays a real person in a false, misleading, or harmful light without their consent, particularly in sexual or violent contexts.
- Content designed to deceive users into believing they are interacting with a verified creator, public figure, or institution when they are not.
5.Harmful and Illegal Activity
In addition to the content prohibitions in Section 4, users are prohibited from using the Platform to engage in, facilitate, promote, or coordinate any harmful or illegal activity. These prohibitions apply regardless of whether the activity occurs entirely on the Platform or is merely facilitated or arranged through use of the Platform.
Drug-Related Activities
- Advertising, offering for sale, or facilitating the purchase of controlled substances, illegal drugs, prescription medications without a valid prescription, or any other substance the possession or distribution of which is prohibited by applicable law.
- Providing instructions, guidance, or resources for the production, synthesis, or distribution of controlled or prohibited substances.
- Operating or advertising drug paraphernalia services in violation of applicable law.
Human Trafficking and Sexual Exploitation
- Any content or communication that facilitates, promotes, or constitutes human trafficking, forced labor, sexual exploitation, or any form of modern slavery.
- Any solicitation, advertisement, or facilitation of commercial sexual services in violation of applicable law, including but not limited to prostitution and escorting services where prohibited.
- Any use of the Platform to recruit, control, coerce, or exploit performers, including through debt bondage, threats, or deceptive employment practices.
Weapons and Dangerous Items
- Advertising, offering for sale, or facilitating the illegal acquisition of firearms, ammunition, explosive devices, or other prohibited weapons.
- Providing instructions for the illegal modification of firearms, including the conversion of semi-automatic weapons to fully automatic fire.
- Advertising biological, chemical, radiological, or nuclear materials or providing instructions for the creation of weapons capable of mass casualties.
Financial Crime
- Any use of the Platform to commit, facilitate, or conceal money laundering, terrorist financing, fraud, identity theft, or other financial crimes.
- Operating Ponzi schemes, pyramid schemes, unauthorized investment schemes, or any other fraudulent financial activity through the Platform.
- Misrepresenting the nature or origin of funds transacted through the Platform, including through the use of fraudulent payment methods, stolen financial credentials, or unauthorized accounts.
Tax Evasion and Regulatory Violations
- Using the Platform to facilitate tax evasion, the concealment of income, or the circumvention of financial reporting obligations imposed by applicable law.
- Failing to comply with applicable tax reporting obligations related to income earned through the Platform, including obligations relating to goods and services tax, harmonized sales tax, value added tax, and income tax.
6.Harassment, Abuse, and Exploitation
SGSuperFans maintains a zero-tolerance policy toward harassment, abuse, stalking, intimidation, and all other forms of conduct that harm, threaten, or demean other users or third parties. These prohibitions apply to all communications on the Platform, including direct messages, comments, live stream chats, post reactions, and any other interactive feature.
Harassment and Intimidation
- Sending repeated, unwanted communications to any person after being asked to stop, or after being blocked by that person.
- Using any feature of the Platform to systematically target, demean, humiliate, or intimidate a specific individual through a pattern of offensive conduct.
- Sending or publishing content that constitutes a credible threat to the physical safety, property, or livelihood of any identifiable person.
- Coordinating or inciting other users to direct harassment or abuse at a specific target, including through pile-on campaigns, coordinated mass reporting in bad faith, or other forms of organized abuse.
Stalking and Privacy Violations
- Using information obtained through the Platform to track, monitor, or surveil another person’s physical location, movements, or activities without their consent.
- Publishing or distributing the private personal information of any person without their express consent, including home or work addresses, personal telephone numbers, government identification numbers, financial account details, medical records, or private communications.
- Attempting to identify or expose the real-world identity of a creator who presents content under a pseudonym or who has not publicly disclosed their identity.
Impersonation
- Creating an account or profile that impersonates, mimics, or is likely to be confused with another person, whether a public figure, another user, or a SGSuperFans employee or representative.
- Using another person’s name, likeness, photographs, or personal information without their consent in a manner that constitutes impersonation or misrepresentation as to identity.
- Falsely claiming to be an official representative, employee, or affiliate of SGSuperFans.
Sexual Harassment
- Sending unsolicited explicit, sexually graphic, or sexually suggestive content to any person who has not expressly consented to receive such content.
- Making repeated unwanted sexual advances, propositions, or comments directed at a specific individual.
- Using the messaging, tipping, or request features of the Platform to solicit sexual acts or explicit content in a manner that violates the creator’s stated terms or that constitutes harassment.
7.Creator Standards and Responsibilities
Creators who publish content on the Platform, whether free or paid, are subject to elevated obligations reflecting their active role in generating and distributing content to a paying audience. These standards exist to protect the safety of performers, the rights of subscribers, and the legal and reputational integrity of the Platform.
Content Accuracy and Transparency
- Creators must accurately represent the nature and scope of their content, subscription benefits, and any exclusive offerings. Materially misleading descriptions that induce subscribers to pay for content not delivered as described may constitute false advertising and breach of contract.
- Creators must not misrepresent their identity, credentials, qualifications, or professional relationships. Impersonating another creator, celebrity, public figure, or professional is strictly prohibited.
- Creators who offer custom content, personalized services, or pay-per-view material must deliver the content as described within any stated timeframe, or refund the subscriber promptly.
Performer and Collaborator Obligations
- Creators are solely responsible for obtaining the explicit written consent of all persons who appear in their content, prior to that content being published on the Platform.
- For sexually explicit content, consent must be prior, voluntary, informed, and in writing. The creator must retain consent documentation for the duration required by applicable law and make such documentation available to SGSuperFans upon request.
- Creators who collaborate with other creators are each individually responsible for compliance with all applicable obligations under this AUP in respect of that collaborative content.
- Creators must not publish content featuring any person who was, at the time the content was created, under the influence of substances to a degree that impairs their capacity to provide meaningful consent.
Commercial Practices
- Creators must comply with all applicable laws governing advertising disclosure, including requirements to disclose paid partnerships, brand sponsorships, and affiliate relationships.
- Creators must not use manipulative, deceptive, or coercive practices to induce subscribers to purchase content, tip, or upgrade their subscription tier. This includes the use of false scarcity, misleading countdown timers, or fabricated social proof.
- Creators must not offer or solicit in-person meetings, physical goods, or services outside the Platform in a manner that violates any Platform policy or applicable law.
Tax and Legal Compliance
Creators are solely responsible for determining and satisfying their own tax obligations in respect of income earned through the Platform, including income tax, self-employment tax, GST/HST, VAT, and any withholding tax obligations that may apply. SGSuperFans may be required by law to report creator earnings to tax authorities and to collect and remit applicable taxes on creator transactions.
8.Age Verification and Performer Documentation
The protection of minors from sexual exploitation is an absolute priority of SGSuperFans. All creators who publish adult-rated or sexually explicit content on the Platform are subject to the following mandatory age verification and documentation requirements, which are in addition to the requirements imposed by 18 U.S.C. Section 2257 and applicable Canadian law.
Creator Identity Verification
Before any creator is permitted to publish adult-rated content on the Platform, SGSuperFans requires the creator to undergo identity and age verification using SGSuperFans’s designated verification service. Verification requires the submission of a valid government-issued photo identification document confirming that the creator is eighteen (18) years of age or older. SGSuperFans retains verification records in accordance with its data retention policy and applicable law.
Performer Verification Obligations
- Before publishing any content that depicts another person in a sexually explicit or adult-rated context, the creator must first verify that each depicted performer is eighteen (18) years of age or older.
- Verification must be conducted by the creator prior to the creation of the content and must involve the collection and review of a valid government-issued photo identification document for each performer.
- The creator must retain copies of all performer identification documentation and signed consent forms for the longer of: (a) seven (7) years from the date of creation of the content; or (b) the minimum retention period required by applicable law.
- Creators must provide performer documentation to SGSuperFans within five (5) business days of any request, including requests made in connection with a regulatory investigation or legal proceeding.
Cross-Reference Statement Requirement
All adult-rated content published on the Platform must include a cross-reference statement linking to the creator’s Section 2257 records custodian statement in a manner consistent with 28 C.F.R. Section 75.8. SGSuperFans provides automated tools to assist creators in generating compliant cross-reference statements, but ultimate responsibility for compliance rests with the creator as primary producer.
9.Intellectual Property and Content Licensing
The Platform hosts a substantial volume of original creative content. Respect for intellectual property rights is essential to the sustainability of the creator economy and to SGSuperFans’s ability to operate lawfully. This Section applies to all users and establishes the intellectual property rules governing content published on the Platform.
Ownership and Licensing by Creators
By uploading content to the Platform, creators represent and warrant that: (a) they are the original creator and sole owner of the content or have obtained all necessary licenses, permissions, releases, and consents from the copyright holders and any depicted persons; (b) the content does not infringe the copyright, trademark, publicity rights, privacy rights, or any other intellectual property or proprietary rights of any third party; and (c) the content does not violate any applicable law.
By uploading content, creators grant SGSuperFans a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, display, reproduce, distribute, modify for technical purposes, and make available the content as necessary to operate and provide the Platform and its features, including content moderation and safety systems.
Prohibited Intellectual Property Conduct
- Uploading, distributing, or making available any copyrighted material (including music, film, video, photographs, software, or written works) without the authorization of the rights holder.
- Using another creator’s original content, including screen captures, clips, highlights, or derivative works, without that creator’s express written permission.
- Using trademarked brand names, logos, or slogans in a manner likely to cause confusion as to the source, affiliation, or endorsement of content.
- Misrepresenting authorship or origin of content, including through the use of falsely attributed metadata.
DMCA and Canadian Copyright Notice-and-Notice Regime
SGSuperFans complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. Section 512, and the notice-and-notice provisions of the Copyright Act (Canada). Rights holders who believe that content published on the Platform infringes their copyright may submit a valid takedown notice to SGSuperFans’s designated DMCA agent:

A compliant DMCA takedown notice must include: (a) the electronic or physical signature of the rights holder or authorized agent; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the infringing material on the Platform and information sufficient to locate it; (d) the notifying party’s contact information; (e) a statement of good faith belief; and (f) a statement of accuracy under penalty of perjury. Submitting a knowingly false or materially misleading DMCA notice may expose the submitting party to liability for damages, including attorney’s fees.
10.Subscriber Rules and Restrictions
Subscribers and fans who access creator content on the Platform are bound by the following rules, in addition to the general conduct requirements set out elsewhere in this AUP. The purpose of these rules is to protect the rights, livelihood, and privacy of creators, and to ensure that subscriber access is used only for its intended purpose.
Personal Use Limitation
Access to creator content through a subscription or pay-per-view purchase is for the subscriber’s personal, non-commercial use only. Subscribers are strictly prohibited from:
- Downloading, copying, recording, screen-capturing, or otherwise reproducing any creator content without the creator’s express written permission, regardless of whether the subscription grants viewing access to the content.
- Distributing, sharing, reselling, leasing, or otherwise making creator content available to any third party, whether for free or for consideration.
- Uploading, posting, or publishing creator content on any other platform, website, social media service, or content distribution network without express authorization.
- Using creator content for any commercial purpose, including advertising, promotional campaigns, or the creation of derivative works for sale.
- Using creator content to train, fine-tune, or develop artificial intelligence or machine learning systems without the express written authorization of both the creator and SGSuperFans.
Respectful Interaction
Subscribers may interact with creators through comments, messages, tips, and other Platform features, subject at all times to the conduct standards set out in this AUP. Subscribers must:
- Respect all boundaries communicated by creators regarding the content they will produce, the nature of interactions they will engage in, and the requests they will accept.
- Refrain from pressuring, coercing, or harassing creators to produce content that is outside their stated offerings or that they have declined to produce.
- Not misrepresent their identity or intentions when communicating with creators, including by falsely claiming a professional or institutional affiliation to extract information or content.
11.Payment Integrity and Financial Fraud
The financial integrity of the Platform is essential to protect creators, subscribers, and the Platform itself. Users who abuse or manipulate the payment infrastructure cause direct financial and legal harm and will be subject to the most serious enforcement consequences.
Prohibited Payment Conduct
- Using fraudulent, stolen, cloned, unauthorized, or otherwise misappropriated payment credentials, including credit cards, debit cards, bank account details, or digital wallet identifiers.
- Providing false or misleading billing information, including false names, addresses, or identity particulars, at the time of a transaction.
- Using the Platform as a conduit for money laundering, including structuring transactions to obscure the origin, ownership, or control of funds.
- Making payments through an account or payment method that you do not own or for which you do not have express authorization, including the unauthorized use of a family member’s or employer’s payment credentials.
Chargebacks and Payment Disputes
Initiating a chargeback or payment dispute with your financial institution or payment processor is a remedy of last resort and must be used only where you have a genuine good-faith dispute that SGSuperFans has refused to resolve through its own dispute resolution process. The following conduct is prohibited:
- Initiating a chargeback to obtain a refund after accessing, viewing, downloading, or otherwise consuming the content for which payment was made (“friendly fraud”).
- Initiating a chargeback as a method of pressuring a creator or SGSuperFans, as a form of harassment, or for any purpose other than a genuine belief that the charge was unauthorized or fraudulent.
- Initiating multiple chargebacks across multiple transactions in a pattern suggesting systematic abuse of the payment network.
Where SGSuperFans determines that a chargeback was initiated fraudulently or abusively, it reserves the right to: (a) permanently terminate the user’s account; (b) recover the full amount of the disputed transaction by any lawful means; (c) report the conduct to the applicable payment network; and (d) pursue civil legal action for damages.
Refund Policy
Refund eligibility is governed by the Terms of Service. Where a creator fails to deliver content as clearly described, or where a technical error on the part of SGSuperFans results in a failed delivery, users may be entitled to a refund through the Platform’s official dispute resolution process. Refund requests should be directed to billing@sgsuperfans.com.
12.Circumvention and Manipulation
The effectiveness, fairness, and trustworthiness of the Platform depend on the integrity of its systems. Users are prohibited from circumventing or manipulating the Platform’s technical measures, business rules, or community systems.
Technical Circumvention
- Circumventing, bypassing, disabling, or removing any digital rights management (DRM) measures, access controls, geographic restrictions, age restrictions, or other technical measures implemented by SGSuperFans.
- Using virtual private networks (VPNs), proxy servers, or other anonymization tools for the primary purpose of bypassing SGSuperFans’s geographic restrictions, age verification requirements, or account suspension measures.
- Exploiting errors, vulnerabilities, or unintended behaviors in the Platform to access features or content without paying applicable fees, to exceed applicable usage limits, or to gain unauthorized account privileges.
Manipulation of Metrics and Discovery
- Using artificial means to inflate follower counts, subscriber counts, view counts, like counts, tip counts, or any other engagement metric displayed on the Platform, whether by operating fake accounts, purchasing engagement from third-party services, or using automated tools.
- Manipulating the Platform’s content recommendation, search, or discovery algorithms through artificial or coordinated actions designed to promote specific content or accounts dishonestly.
- Coordinating with other users or third parties to engage in mass-following, mass-tipping, or other coordinated artificial engagement for the purpose of manipulating platform metrics or rankings.
Evasion of Enforcement
- Creating a new account, using a different email address or payment method, or employing any other strategy to circumvent a suspension, ban, or other enforcement action imposed by SGSuperFans.
- Assisting or enabling another person to evade an enforcement action, including by providing your account for use by a banned individual.
- Submitting false or misleading information in an appeal or dispute process in order to reverse a legitimate enforcement action.
13.Automated Access and Data Scraping
The data, content, and databases accessible through the Platform are the proprietary assets of SGSuperFans and its users. Unauthorized automated access and data harvesting harm the Platform, compromise user privacy, and constitute violations of applicable law.
Prohibited Automated Activities
- Using any automated tool, script, bot, crawler, spider, proxy, or other programmatic means to access, scrape, extract, index, collect, or download data, content, or metadata from the Platform without the express written authorization of SGSuperFans.
- Creating, using, or distributing programs or scripts that send an excessive number of requests to the Platform’s servers in a manner that interferes with normal Platform operation or imposes an unreasonable burden on infrastructure.
- Accessing or attempting to access the Platform’s non-public application programming interfaces (APIs) except through officially sanctioned API access channels governed by a separate API agreement with SGSuperFans.
- Harvesting, collecting, or aggregating user profile information, creator content metadata, pricing data, subscriber counts, or any other Platform data for commercial purposes, competitive intelligence, or redistribution without authorization.
AI Training Data Prohibition
Without limiting the generality of the foregoing, users are specifically prohibited from collecting, downloading, or aggregating any content, data, metadata, or information from the Platform for the purpose of training, fine-tuning, testing, or validating any artificial intelligence, machine learning, or deep learning system. This prohibition applies regardless of whether the collected data would individually constitute copyrighted works, and regardless of whether the AI system is intended for commercial or non-commercial use.
Authorized API Use
SGSuperFans may, from time to time, make official APIs available to selected developers and business partners pursuant to a written API access agreement. Authorized API use is subject to applicable rate limits, data use restrictions, and the terms of the relevant API agreement. Use of official APIs in a manner that exceeds authorized scope or that violates the terms of the API agreement is a violation of this AUP.
14.Security and Infrastructure
Users are prohibited from taking any action that compromises, damages, or interferes with the security or integrity of the Platform, its infrastructure, or the data of its users.
Prohibited Security Activities
- Attempting to gain unauthorized access to SGSuperFans’s systems, servers, databases, network infrastructure, or the accounts of other users, by any means, including through the exploitation of software vulnerabilities, brute-force credential attacks, session hijacking, or social engineering.
- Uploading, transmitting, or distributing malware, ransomware, viruses, Trojan horses, worms, spyware, keyloggers, or any other malicious or harmful code through the Platform or its messaging features.
- Conducting or participating in distributed denial-of-service (DDoS) attacks, amplification attacks, or any other form of attack designed to degrade or disrupt the Platform’s availability.
- Conducting or facilitating phishing, pharming, credential stuffing, or other schemes designed to deceive Platform users into disclosing their account credentials or other sensitive personal information.
- Injecting malicious code into the Platform, including SQL injection, cross-site scripting (XSS), server-side request forgery (SSRF), and similar attacks.
- Intercepting, monitoring, or recording private communications transmitted through the Platform without the consent of all parties to the communication, except as required by applicable law.
Vulnerability Disclosure
SGSuperFans values responsible security research and encourages the good-faith reporting of security vulnerabilities. Researchers who identify a security vulnerability in the Platform are requested to disclose it to SGSuperFans promptly and confidentially by emailing security@sgsuperfans.com, prior to any public disclosure, and to allow a reasonable period for remediation. Responsible disclosures made in good faith will not be regarded as violations of this AUP, provided the researcher does not access, modify, or exfiltrate user data beyond what is minimally necessary to demonstrate the vulnerability.
15.Content Reporting and Takedown
SGSuperFans employs a multi-layered content moderation framework combining automated detection, human review, and community reporting. Users who encounter content or conduct that they believe violates this AUP should use the in-platform reporting tools, or contact SGSuperFans directly:
SGSuperFans’s Moderation Response
Upon receipt of a credible report, SGSuperFans will conduct a review of the reported content or conduct within a commercially reasonable timeframe, having regard to the urgency and severity of the reported issue. SGSuperFans may, at its sole discretion and without prior notice: (a) remove or restrict access to reported content; (b) suspend the reported account pending investigation; (c) permanently terminate the reported account; (d) report the matter to law enforcement; or (e) decline to take action where the report is unfounded.
Reporting in Good Faith
All reports must be made in good faith. Using the reporting system as a tool of harassment, including submitting knowingly false reports or coordinating mass-reporting campaigns designed to remove content that does not violate this AUP, is itself a violation of this AUP and may result in enforcement action against the reporting user.
Law Enforcement Cooperation
SGSuperFans cooperates with law enforcement agencies and regulatory authorities in Canada, the United States, and internationally in connection with investigations involving criminal conduct engaged in through or facilitated by the Platform. This cooperation includes, where required by law or court order, the disclosure of user account information, content, and communications logs. SGSuperFans maintains forensic-quality records of content and communications to support law enforcement investigations in serious criminal matters.
16.Enforcement Actions and Consequences
SGSuperFans enforces this AUP through a range of measures calibrated to the nature and severity of the violation, and to the history of the user involved. SGSuperFans has sole and absolute discretion in determining what enforcement action is appropriate in any given case, subject only to the procedural protections described below.
Range of Enforcement Actions
- Warning: A formal notice issued to a user regarding conduct that violates or risks violating this AUP, accompanied by a description of the specific conduct and a direction to cease the conduct.
- Content Removal: The immediate removal of specific content found to violate this AUP, without necessarily affecting the user’s account status.
- Feature Restriction: The temporary or permanent restriction of specific Platform features, such as messaging, commenting, live streaming, or content publishing capabilities.
- Temporary Suspension: A temporary suspension of the user’s account and access to the Platform for a defined period, during which the user cannot access, post, or transact.
- Permanent Termination: The permanent closure of a user’s account and all associated accounts, with forfeiture of any residual account balance in accordance with the Terms of Service, and with permanent prohibition on re-registration.
- Financial Recovery: Recovery of amounts owed to SGSuperFans or to affected users as a result of the user’s breach, including through set-off against pending earnings payouts, pursuit of civil legal proceedings, or referral to a collections agency.
- Legal Action: The pursuit of civil legal proceedings against the user for breach of contract, tortious conduct, or violation of applicable law, including seeking injunctive relief, damages, and legal costs.
- Law Enforcement Referral: The referral of the user’s conduct, together with relevant records and evidence, to applicable law enforcement authorities for investigation and potential criminal prosecution.
Immediate Termination Without Notice
Certain violations are so severe that they warrant immediate, permanent account termination without prior warning or opportunity to cure. These include, without limitation: uploading or distributing CSAM; non-consensual intimate imagery violations; human trafficking or sexual exploitation on the Platform; and cyberattacks against the Platform or other users.
Appeals Process
Users who believe that an enforcement action was taken in error may submit a written appeal to SGSuperFans through the Platform’s designated appeals process within thirty (30) days of the enforcement action. An appeal must describe, clearly and specifically, the grounds on which the user believes the enforcement action was erroneous, and must include any supporting evidence. SGSuperFans’s decision on appeal is final.
Appeals are not available for enforcement actions taken in connection with CSAM, NCII, child safety violations, or cyberattacks. Appeals do not stay or suspend an enforcement action while under review.
17.Indemnification and Limitation of Liability
This Section governs the allocation of risk and legal liability between you and SGSuperFans in connection with your use of the Platform. It must be read together with the equivalent provisions in the Terms of Service, which govern in the event of any conflict.
Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless SGSuperFans Inc., and its directors, officers, employees, agents, contractors, licensors, suppliers, and successors (collectively, the “SGSuperFans Parties”) from and against all claims, demands, actions, proceedings, damages, losses, costs, and expenses (including solicitor-client legal fees) arising out of or relating to:
- Your breach of any provision of this AUP, the Terms of Service, or any other Platform policy.
- Your use of the Platform in violation of any applicable law or regulation.
- Any content you publish, upload, or communicate through the Platform, including any claim that such content infringes the intellectual property rights, privacy rights, or other legal rights of any third party.
- Any claim by a performer depicted in your content that your content was produced or published without their consent or in violation of their rights.
- Any tax liability arising from your failure to report or remit taxes on income earned through the Platform.
- Any civil or criminal liability arising from your unlawful use of the Platform or your violation of any law through the Platform.
SGSuperFans’s Limitation of Liability
To the maximum extent permitted by applicable law, SGSuperFans is not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of or inability to use the Platform, including loss of profits, loss of data, reputational damage, or any other losses, even if SGSuperFans has been advised of the possibility of such damages.
Where SGSuperFans’s liability cannot be fully excluded by law, its total aggregate liability to you for all claims arising out of or relating to this AUP or the Platform is limited to the greater of: (a) the total amount you paid to SGSuperFans in the twelve (12) months immediately preceding the event giving rise to liability; or (b) one hundred Canadian dollars (CAD 100.00).
User-Generated Content Disclaimer
SGSuperFans hosts user-generated content but does not endorse, approve, verify, or take editorial responsibility for individual pieces of content. SGSuperFans is not liable for any content created, published, or communicated by users, including content that is offensive, harmful, illegal, inaccurate, or in violation of the rights of third parties. Users access and rely on user-generated content at their own risk.
Platform Availability
SGSuperFans provides the Platform on an “as is” and “as available” basis. SGSuperFans makes no representation or warranty that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. Scheduled and unscheduled maintenance, technical failures, and third-party service disruptions may result in temporary unavailability of the Platform without giving rise to liability on the part of SGSuperFans.
18.Governing Law and Jurisdiction
This AUP and all matters arising out of or relating to it are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
Forums for Dispute Resolution
Subject to the arbitration provision below, you irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario, Canada for the resolution of any dispute arising out of or relating to this AUP. You waive any objection to the laying of venue of any such proceeding in Ontario, and waive any claim that any such proceeding has been brought in an inconvenient forum.
Mandatory Informal Resolution
Before commencing any formal legal proceeding, including arbitration, you agree to notify SGSuperFans of your dispute by written notice to legal@sgsuperfans.com and to attempt in good faith to resolve the dispute informally for a period of not less than thirty (30) days. SGSuperFans will do the same when it has a dispute with you that falls within this AUP.
Binding Arbitration (for Users in the United States)
For users who are residents of the United States, and to the extent permitted by applicable law, any dispute arising out of or relating to this AUP or the Platform that cannot be resolved informally shall be referred to and finally resolved by binding individual arbitration administered by a recognized arbitration institution agreed upon by the parties. The arbitration shall be conducted in English. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek urgent injunctive or equitable relief from any court of competent jurisdiction where necessary to prevent irreparable harm, without first commencing arbitration or informal dispute resolution.
Class Action Waiver
To the fullest extent permitted by applicable law, you waive any right to bring or participate in any class action, collective action, representative action, or class-wide arbitration against SGSuperFans. All disputes must be brought on an individual basis only. This class action waiver does not apply where it is unenforceable under applicable law.
Severability
If any provision of this AUP is found to be unenforceable, invalid, or contrary to applicable law by a court or arbitrator of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or severed from this AUP if modification is not possible, and the remaining provisions shall continue in full force and effect.
Entire Agreement
This AUP, together with the Terms of Service, the Community and User Agreement, the Privacy Policy, and all other policies incorporated by reference, constitutes the entire agreement between you and SGSuperFans with respect to your use of the Platform and supersedes all prior and contemporaneous understandings, representations, and agreements relating to the same subject matter.
