Payment Policy

This Payment Policy describes how SGSuperFans Inc. structures fees, processes payments, manages creator payouts, handles tax withholding and reporting obligations, and maintains account funds. It applies to all users transacting on the Platform in any capacity, whether as a fan making purchases or as a creator receiving earnings.

Overview

1.Platform Revenue Model and Fee Structure

SGSuperFans operates as a facilitator of commerce between creators and their audiences. Rather than charging creators a flat monthly platform fee, SGSuperFans applies a percentage-based service fee to transactions in which fans pay creators. This model aligns SGSuperFans’s commercial interests directly with creator success: we earn only when creators earn.

Standard Platform Service Fee

  • 15% platform service fee applies to all fan-to-creator monetary transactions processed through the Platform, including subscription fees, pay-per-view content purchases, tips, event ticket sales, shoutout sales, experience session fees, and Shop Product sales where SGSuperFans processes the payment.
  • Creators receive 85% of each qualifying transaction, net of the platform service fee and any applicable withholding taxes, as described in Section 7.
  • The platform service fee is deducted at the time the transaction is processed. Creators’ Dashboard balances always reflect amounts net of the platform fee. There is no separate invoice for platform fees.

Brand Marketplace Commission

  • 20% commission applies to deals arranged through SGSuperFans’s Audience Segments brand marketplace feature, where a brand engages a creator for a sponsored collaboration, branded content campaign, or endorsement arranged via the Platform.
  • The 20% commission is applied to the total deal value agreed between the brand and the creator. Creators receive 80% of the agreed deal value in these arrangements.
  • Brand marketplace deals that are negotiated and executed entirely outside the Platform (with no Platform involvement in the match, introduction, or contractual arrangement) are not subject to SGSuperFans commission. Improper circumvention of the Platform to avoid commission may be a violation of the Creator Agreement.

Payment Processing Surcharges

SGSuperFans’s platform service fee is separate from any payment processing surcharges, interchange fees, or currency conversion fees applied by the underlying payment processor. In most cases these costs are absorbed within the platform service fee structure and are not separately charged to creators. Any instance where processing surcharges are passed through will be disclosed in the Creator Dashboard fee summary.

The precise fee structure applicable to each transaction type is displayed in the Creator Dashboard under Earnings › Fee Structure. Creators are encouraged to review the current fee schedule before pricing their content and services.

2.Payment Processing and Data Security

All payment card transactions on the Platform are processed by a Payment Card Industry Data Security Standard (PCI-DSS) Level 1 certified third-party payment processor. SGSuperFans does not directly handle, store, or process raw credit card data. By using the Platform to make payments, you acknowledge that your payment data is subject to the terms and privacy policy of the applicable payment processor in addition to SGSuperFans’s own Privacy Policy.

Data Security Standards

  • No storage of full card numbers: SGSuperFans does not store full payment card numbers (PANs) or card verification values (CVV/CVC) on its servers at any time. Tokenized payment references provided by the payment processor are used for recurring billing.
  • Encryption in transit: All payment data transmitted between the user’s browser and SGSuperFans’s systems is encrypted using Transport Layer Security (TLS) 1.3 or higher.
  • 3D Secure authentication: Where supported by the issuing bank, SGSuperFans enables 3D Secure 2 (3DS2) authentication for qualifying transactions to reduce the risk of unauthorized card use.
  • Fraud detection: Automated machine learning systems monitor transaction patterns for indicators of fraudulent activity. Transactions that trigger risk thresholds may be held for review or declined, and affected users will be notified by email.

SGSuperFans reserves the right to decline any payment method or transaction at its discretion for risk, compliance, or legal reasons, without liability for the consequences to the user.

SGSuperFans will never ask you to provide your full card number, CVV, or PIN by email, chat, or phone. Any communication purporting to be from SGSuperFans requesting this information should be treated as fraudulent and reported to safety@sgsuperfans.com.
Creator Payouts

3.Payout Schedule and Thresholds

SGSuperFans remits creator earnings to creators through a payout system that is accessible via the Creator Dashboard. Earnings accumulate in a creator’s Dashboard balance in real time as transactions are processed (net of platform fees and applicable withholding). Payouts are requested by the creator and processed on a rolling basis, subject to the thresholds and hold periods described below.

Minimum Payout Threshold

  • The minimum payout amount is USD $50.00 per payout request. A payout request cannot be submitted unless the creator’s available balance meets or exceeds this threshold.
  • There is no maximum payout amount per request, subject to applicable anti-money laundering reporting thresholds and payout method limits described in Section 4.

Earnings Hold Periods (Anti-Fraud)

  • Established creators (after 90 days on Platform): Earnings from any given transaction are available for payout 7 calendar days after the transaction date. This 7-day window allows for chargeback reversal and fraud resolution before funds are released.
  • New creators (first 90 days on Platform): A 30-calendar-day hold applies to earnings during the first 90 days following the creator’s first successful payout-eligible transaction. This extended hold is a standard anti-fraud measure applied to new accounts and is reduced to 7 days upon satisfactory completion of the initial 90-day period.
  • High-value transactions: Individual transactions above USD $5,000 may be subject to an additional 5-day review hold for enhanced fraud screening. Creators will be notified by email where this additional hold applies.

Deductions from Earnings

  • Platform service fee: Deducted at source. Earnings in the Dashboard are always shown net of the platform fee.
  • Chargebacks: If a fan successfully charges back a transaction from which the creator has already received payment, the reversed amount will be deducted from the creator’s pending or future earnings. SGSuperFans will notify the creator of all chargeback deductions.
  • Tax withholding: Where applicable (see Section 7), withholding tax amounts are deducted from earnings before payout.
Creator Payouts

4.Payout Methods and Processing Times

SGSuperFans offers bank-based payout methods for creator earnings. Creators must provide verified bank account details in their Creator Dashboard before any payout can be initiated. Payout information must match the identity information provided during the KYC (know-your-customer) verification process described in Section 7.

Payout Currency

All payouts are denominated in US dollars (USD) unless an alternative currency is made available for a creator’s jurisdiction at the time of payout. Currency conversion from USD to the creator’s local currency, where applicable, is applied at the rate offered by the receiving bank or the international wire correspondent and is not controlled by SGSuperFans.

Failed Payouts

  • If a payout is rejected by the receiving bank (for example due to incorrect account details, a frozen account, or a currency restriction), SGSuperFans will notify the creator by email within 1 business day of the rejection notice from the bank.
  • The creator must update their bank details in the Dashboard within 14 days of the failed payout notification. SGSuperFans will re-attempt the payout within 3 business days of updated details being confirmed.
  • If three consecutive payout attempts fail due to incorrect bank details, the creator’s earnings will be placed on hold until the bank account information is verified by SGSuperFans’s operations team. A verification request will be sent by email.
  • SGSuperFans is not responsible for losses arising from a creator providing incorrect bank account details. Any bank fees incurred due to failed or returned wires caused by incorrect account information are the creator’s responsibility.
Fan Billing

5.Subscription Billing and Auto-Renewal

Subscriptions are recurring monthly billing arrangements under which fans are charged automatically on each renewal date until the subscription is cancelled. SGSuperFans operates subscription billing in compliance with the Restore Online Shoppers’ Confidence Act (ROSCA) (US) and equivalent Canadian internet agreement disclosure requirements under the Consumer Protection Act, 2002 (Ontario). This means that the total charge, the renewal date, and the cancellation process are clearly disclosed before you subscribe.

Billing Mechanics

  • Charge date: Subscriptions are billed on the same calendar day of the month as the original subscription date. If the original subscription date falls on a day that does not exist in a given month (for example, the 31st), the charge occurs on the last day of that month.
  • Billing currency: Fans are billed in USD or, where supported, in their local currency equivalent as displayed at the time of subscription. The exchange rate used is the rate offered by the payment processor at the time of billing.
  • Pre-authorization disclosure: Before completing a subscription, fans are presented with the recurring charge amount, the renewal date, and a direct link to the cancellation process. By subscribing, the fan expressly pre-authorizes recurring charges until cancellation.

Price Changes

  • Creators may adjust their subscription pricing. When a creator changes their subscription price, SGSuperFans will notify existing subscribers with at least 30 calendar days’ advance notice before the new price applies.
  • Fans who do not wish to continue at the new price may cancel before the new price takes effect. Continuation of the subscription after the effective date of the price change constitutes acceptance of the new price.

Failed Payment and Retry Policy

  • If a subscription renewal charge fails, SGSuperFans will make up to three automatic retry attempts over the following 7 calendar days. Retry attempt dates will be communicated via email notification to the fan.
  • If all three retry attempts fail, the subscription will be paused and the fan will lose access to the creator’s subscription content until the payment method is updated and a manual payment is processed.
  • The fan retains access to the creator’s subscription content throughout the retry window (up to 7 days) while SGSuperFans attempts to collect payment. This window is a courtesy and does not waive the fan’s obligation to pay.
Fan Billing

6.Tips, Pay-Per-View, Events, and Shoutouts

For one-time purchases and discretionary payments, charges are applied at specific points in the transaction lifecycle. The timing of when a creator receives their earnings varies by transaction type and reflects the commercial logic of each product - for example, event ticket proceeds involve a holding period to account for potential refunds if an event is cancelled.

Tips and Live Stream Gifts

  • Tips submitted via the tip feature are charged to the fan’s payment method immediately upon submission.
  • The creator’s share (85% of the tip amount) is credited to their Dashboard balance within 24 hours of the payment clearing, subject to the hold period described in Section 3.
  • Live stream gifts purchased and sent as virtual items are charged immediately. The value is reflected in the creator’s earnings balance after the stream concludes and the session is closed.

Pay-Per-View (PPV) and Unlockable Content

  • PPV content purchases are charged immediately when the fan clicks to unlock the content.
  • The creator’s earnings share is credited to their Dashboard balance within 24 hours of payment clearing, subject to the standard hold period.

Event Tickets

  • Fans are charged at the time of ticket purchase.
  • Ticket revenue is held by SGSuperFans until 48 hours after the event’s scheduled end time. This holding period allows for refund processing in the event that the event is cancelled or does not proceed as scheduled.
  • After the 48-hour post-event window, and provided no cancellation refunds are outstanding, the creator’s share of ticket revenue is released to their Dashboard balance.

Shoutouts

  • Fans are charged at the time of booking a shoutout.
  • The creator’s earnings share is held until the shoutout is marked as delivered in the Platform system. Upon delivery confirmation, the earnings are credited to the creator’s Dashboard balance within 24 hours.
  • If a shoutout is not delivered within the stated fulfillment window and a refund is processed to the fan, no earnings are credited to the creator for that transaction.

Experiences and Private Sessions

  • Fans are charged 24 hours before the scheduled session start time. This creates a confirmed booking commitment from the fan.
  • The creator’s earnings share is released to their Dashboard balance upon session completion and confirmed by the Platform’s session management system.
  • For creator no-shows and Platform-side technical failures resulting in a full refund, no earnings are credited to the creator. For partial refunds due to shortened sessions, only the non-refunded portion is credited to the creator.
Tax & Compliance

7.Tax Withholding, Reporting, and KYC

SGSuperFans is subject to tax information reporting and withholding obligations as a payment facilitator under the laws of Canada (primary jurisdiction) and the United States (as a substantial payee to US persons and payer of US-source income to non-US persons). Creators are legally required to complete applicable tax forms before their first payout is processed. Failure to provide complete and accurate tax documentation will result in payouts being withheld until compliance is achieved.

US Creators and US Persons

  • Form W-9 required: US persons (US citizens, resident aliens, and US entities) must complete IRS Form W-9 (Request for Taxpayer Identification Number and Certification) before their first payout. This form confirms the creator’s taxpayer identification number (TIN) for US federal income tax reporting purposes.
  • IRS Form 1099-NEC: SGSuperFans will issue IRS Form 1099-NEC to US creators whose total platform earnings in any calendar year equal or exceed USD $600. The form will be provided electronically via the Creator Dashboard and by mail where required, no later than January 31 of the following year.
  • US creators are solely responsible for reporting all Platform earnings on their US federal and state income tax returns, regardless of whether a 1099-NEC is issued (the $600 reporting threshold does not affect the creator’s personal tax obligation).

Non-US Creators

  • Form W-8BEN or W-8BEN-E required: Non-US individual creators must complete IRS Form W-8BEN (Certificate of Foreign Status of Beneficial Owner for US Tax Withholding). Non-US entity creators must complete Form W-8BEN-E.
  • Default withholding rate: Unless a reduced withholding rate applies under an income tax treaty between the creator’s country of residence and the United States, a 30% withholding rate is applied to US-source income under IRS Chapter 3 provisions.
  • Tax treaty benefits: Creators whose country of tax residence has an income tax treaty with the United States may be eligible for a reduced withholding rate. To claim treaty benefits, the creator must complete the relevant fields of Form W-8BEN certifying treaty eligibility and provide the applicable treaty article and withholding rate. SGSuperFans will apply the reduced rate upon receipt of a validly completed form.

Canadian Creators

  • SGSuperFans reports creator earnings to the Canada Revenue Agency (CRA) consistent with Canadian T-slip reporting obligations for the applicable tax year.
  • Canadian creators whose annual revenues from the Platform exceed CAD $30,000 in any calendar year are required under the Excise Tax Act to register for GST/HST. This is an independent legal obligation of the creator, not SGSuperFans. Creators are responsible for their own GST/HST registration and remittance obligations.

EU, UK, and International Creators

  • EU and UK creators may be subject to VAT obligations in their home jurisdiction with respect to digital service revenues received through the Platform. Creators are responsible for compliance with applicable VAT registration and remittance requirements in their respective jurisdictions. SGSuperFans does not collect or remit VAT on behalf of creators.

KYC (Know Your Customer) Requirements

  • Before a creator’s first payout is processed, the creator must complete SGSuperFans’s identity verification (KYC) process, which requires submission of: (a) a government-issued photo identification document; (b) proof of bank account (bank statement or voided cheque); and (c) a completed tax form (W-9, W-8BEN, or W-8BEN-E as applicable).
  • SGSuperFans may require enhanced due diligence documentation for accounts with unusually high transaction volumes or for accounts flagged during risk screening. Requests for additional documentation will be communicated by email.

Tax & Compliance

8.Currency, Pricing, and International Payments

SGSuperFans’s platform is operated in US dollars (USD) as the base currency. Pricing displayed to fans in other currencies is for informational purposes and the actual charge is denominated in USD (or converted at the point of processing by the payment processor). Creators set their subscription and content pricing in USD, which may be displayed to fans in their local currency equivalent based on prevailing exchange rates at the time of display.

Exchange Rate Application

  • The exchange rate applied to a transaction is the rate offered by the payment processor at the time the transaction is processed, not the rate at the time an order is placed or at the time of payout.
  • Local currency pricing displayed to fans is indicative. The amount charged to a fan’s card may differ slightly from the displayed local amount due to exchange rate fluctuations between display and processing.
  • SGSuperFans is not responsible for any losses, gains, costs, or inconvenience arising from exchange rate fluctuations between the time a creator sets their pricing, the time a fan makes a purchase, and the time a creator receives their payout.

Currency Conversion on Payouts

  • Creator payouts are denominated in USD. Where a creator’s bank account is in a local currency, the conversion from USD to the local currency is performed by the receiving bank or the SWIFT correspondent network at the applicable rate on the date of settlement.
  • SGSuperFans does not control and takes no responsibility for the exchange rate applied by receiving banks or corresponding financial institutions on international wire transfers.

Geographic Availability and Restrictions

  • SGSuperFans’s platform services are not available to users located in jurisdictions where their use would violate applicable local law, where SGSuperFans maintains a sanctions compliance restriction (consistent with OFAC, Canadian sanctions law, and UN Security Council sanctions lists), or where the payment processor does not support the geography.
  • SGSuperFans reserves the right to restrict access to payment and payout functions for users in certain geographies at its discretion and in compliance with applicable laws.
  • Where a geographic restriction is identified after account creation, the affected user will be notified with options for fund retrieval where funds are held on the account, subject to applicable legal requirements.
Enforcement

9.Account Holds, Withheld Funds, and Fraud Prevention

SGSuperFans may place a hold on a creator’s pending or available earnings, or withhold an in-progress payout, in specific circumstances that pose financial, legal, or compliance risk to the Platform or to other users. The existence of this right is essential to SGSuperFans’s ability to manage chargeback exposure, comply with anti-money laundering laws, and protect the financial integrity of the platform for all creators.

Grounds for Placing an Account Hold

  • Chargeback exposure: Where a creator’s account has a chargeback rate that exceeds applicable processor thresholds, or where a large individual chargeback is pending investigation, earnings may be held to ensure recovery coverage.
  • Suspected fraud or money laundering: Where transaction patterns on an account trigger automated or manual fraud indicators, or where activity is inconsistent with normal account behavior, a hold may be placed pending investigation.
  • Policy investigation: Where SGSuperFans is investigating a potential violation of the Creator Agreement, Terms of Service, or Acceptable Use Policy that could result in earnings forfeiture or account termination, earnings may be held until the investigation is concluded.
  • Legal process: Where SGSuperFans receives a legally valid order, subpoena, injunction, or direction from a law enforcement authority, court, or regulatory body instructing it to hold funds, SGSuperFans will comply with such order. Funds may be held indefinitely during an active legal process.

Notice and Duration

  • SGSuperFans will notify the affected creator of an earnings hold by email within 24 hours of the hold being placed, except where providing notice would compromise an active law enforcement investigation or where SGSuperFans is legally prohibited from giving notice.
  • Holds for compliance investigation purposes will be resolved within 90 calendar days from the date of the hold, unless extended by active legal process. SGSuperFans will provide a status update to the creator at the 30-day mark if the hold remains in place.

AML and FINTRAC/FinCEN Compliance

  • SGSuperFans maintains an Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) compliance program consistent with the Canadian Proceeds of Crime (Money Laundering) and Terrorist Financing Act and FINTRAC reporting requirements, as well as applicable US Bank Secrecy Act obligations where US-sourced transactions are involved.
  • Suspicious transaction reports (STRs) or currency transaction reports (CTRs) may be filed with FINTRAC or FinCEN, as required by law, without notice to the subject of the report where such notice is legally prohibited.
  • Creators are required to provide accurate and complete identity and business information to enable SGSuperFans to fulfill its AML compliance obligations. Failure to cooperate with AMLCTF due diligence requests may result in account suspension and fund withholding.

Contesting a Hold

Creators who believe an earnings hold has been placed in error may submit a written contest to compliance@sgsuperfans.com, providing their creator account ID, the amount held, and all supporting evidence. SGSuperFans will review and respond within 10 business days.

Account holds are distinct from payout processing delays. A hold is a deliberate suspension of fund release for the reasons described above. A payout processing delay is a normal banking and settlement timeline. If you believe a hold has been placed incorrectly on your account, contact compliance@sgsuperfans.com - do not file a chargeback, as this complicates legal proceedings and may negatively affect your standing.

10.Regulatory Compliance, Policy Updates, and Contact

Regulatory Registrations

  • SGSuperFans Inc. operates as a Money Services Business (MSB) and maintains applicable registration and reporting obligations to FINTRAC (Financial Transactions and Reports Analysis Centre of Canada) under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (Canada).
  • To the extent required by applicable US regulations, SGSuperFans maintains FinCEN registration and complies with the Bank Secrecy Act reporting requirements for transactions with a US nexus.
  • SGSuperFans is compliant with the Ontario Payment Services Act and any successor legislation governing payment providers operating in Ontario.

Policy Updates

  • SGSuperFans may update this Payment Policy from time to time to reflect changes in Platform operations, fee structures, applicable law, or payment processing partnerships.
  • For material changes (including changes to fee percentages, payout thresholds, or withholding rates), SGSuperFans will provide at least 30 calendar days’ advance notice by email and via an in-Dashboard notification before the change takes effect.
  • Non-material clarifications, typographical corrections, and administrative updates may be made without prior notice. The effective date on this Policy reflects the date of the most recent material update.
  • Your continued use of the Platform after a policy change takes effect constitutes your acceptance of the updated terms.
