Creator Monetization Policy

This policy governs every aspect of how creators earn money on SGSuperFans: the revenue share structure, all monetization features, payout mechanics, pricing rules, tax obligations, chargeback liability, prohibited conduct, and the legal relationship between SGSuperFans and each creator.

Independent Contractor Notice: Creators on SGSuperFans are independent contractors, not employees, agents, partners, or joint venturers of SGSuperFans Inc. This policy forms part of the Content Creator Agreement and is binding on all registered creators. By activating any monetization feature on the platform, you confirm that you have read and accepted this policy in full.
Foundation

1.Overview and Creator Relationship

SGSuperFans Inc. is a premium creator economy platform incorporated in Ontario, Canada. The platform provides creators with the technology, payment infrastructure, audience tools, and distribution capabilities to earn income directly from fans. This policy sets out all terms governing the financial relationship between SGSuperFans Inc. and each registered creator.

Legal Relationship

Each creator operates on the platform as an independent contractor. SGSuperFans is a technology and payment intermediary. The platform does not direct, supervise, schedule, or control the creative work of any creator. Creators set their own prices (within platform-defined ranges), determine their own content, choose their own audience targeting, and manage their own schedules.

The legal consequences of this relationship include:

  • Creators are solely responsible for their own income tax, self-employment tax, sales tax or VAT, and any other taxes arising from earnings on the platform, except to the extent the platform is legally required to withhold or remit tax on the creator's behalf
  • Creators are not entitled to employment benefits, minimum wage protections, workers' compensation, employment insurance, or any other benefit arising from an employment or dependent contractor relationship
  • SGSuperFans does not guarantee a minimum level of earnings, views, subscribers, or engagement to any creator
  • Creators are solely responsible for compliance with all laws governing the content they publish, the products they sell, and the services they offer through the platform

Eligibility to Monetize

  • The creator must be at least 18 years of age
  • The creator must have completed identity verification (KYC) through the platform's designated third-party identity verification provider
  • The creator must have a valid payout method connected and verified on their account
  • The creator's account must be in good standing, meaning not subject to an active enforcement action, payout hold, fraud investigation, or suspense for material breach of the Content Creator Agreement or this policy
  • For adult content monetization specifically, the creator must have completed the adult content verification layer in addition to standard KYC

Relationship with the Content Creator Agreement

This policy is incorporated by reference into the Content Creator Agreement (CCA). In the event of any conflict between a specific provision of this policy and a provision of the CCA, the CCA governs unless this policy expressly states otherwise for a specific provision. Both documents should be read together as a single integrated framework.

Monetization eligibility may be suspended or revoked at any time if the creator violates any provision of this policy, the Content Creator Agreement, the Terms of Service, or any applicable law. Suspension of monetization access does not automatically trigger a termination of the creator's account, but repeated violations may result in permanent account termination under the enforcement escalation framework in the Content Moderation Policy.

2.Monetization Features

SGSuperFans provides creators with ten distinct monetization channels. Each channel operates independently and is subject to both the general terms in this policy and the channel-specific rules set out below. Activating any channel constitutes acceptance of the rules applicable to that channel.

Channel-Specific Operating Rules

Shoutouts and Custom Content: The creator must fulfill each accepted order within five business days of acceptance. The creator-defined maximum fulfillment window may not exceed seven business days. For orders uncompleted within the creator's stated window, the platform will issue a full refund to the fan and recover the refunded amount from the creator's earnings balance. Creators who accept orders they do not intend to fulfill are in material breach of this policy.

Live Event Tickets: When a creator cancels, postpones by more than 30 days, or materially alters the format of a ticketed event after tickets have been sold, the platform will issue full refunds to all ticket holders. The creator may reschedule with at least 48 hours' advance notice; one reschedule is allowed per event within the 30-day window without triggering automatic refunds.

Shop Products: Physical goods listings must accurately describe the product, materials, dimensions, and shipping timeline. A creator who fails to dispatch a physical order within the stated handling time or is unable to fulfill a pre-order by the stated delivery date, without providing customers a proactive alternative (refund or substitute), is in breach of this policy and the platform will process refunds and recover costs from the creator's balance.

Video Calls and Experiences: Reference pricing of CAD $25 per 15 minutes and CAD $45 per 30 minutes is published in the platform dashboard. Creators may set their own pricing within platform-imposed minimum and maximum thresholds displayed in their account settings. Technical failures attributable to the platform's infrastructure, rather than the creator's own equipment or internet connection, entitle the fan to a full refund at platform cost.

3.Platform Fee and Revenue Share

SGSuperFans retains a platform service fee on every monetization transaction processed through the platform. The revenue share structure, applicable to all monetization channels unless otherwise stated in writing by SGSuperFans, is as follows.

How Net Transaction Value Is Calculated

For every fan payment, the platform calculates creator earnings as follows:

  • Step 1: The gross amount charged to the fan is received by the platform's payment processor (Stripe Connect, PayPal, or equivalent)
  • Step 2: The payment processor deducts its processing fee (approximately 2.5% to 3.5% depending on card type, currency, and payment method) from the gross amount; the resulting figure is the net transaction value
  • Step 3: SGSuperFans applies the 85/15 split to the net transaction value; 85% is credited to the creator's platform earnings balance and 15% is retained as the platform service fee
Example: A fan purchases a pay-per-view item for CAD $20.00. The payment processor deducts CAD $0.60 (3% processing fee), leaving a net of CAD $19.40. SGSuperFans retains CAD $2.91 (15%), and the creator receives CAD $16.49 (85%) credited to their earnings balance.

Currency

All creator earnings, payout balances, and financial thresholds referenced in this policy are denominated in Canadian Dollars (CAD) unless otherwise specified. Transactions made by fans in other currencies are converted to CAD at the exchange rate provided by the payment processor at the time of the transaction. SGSuperFans does not guarantee any particular exchange rate and is not liable for currency fluctuation losses.

Bundled Transactions

When a fan purchases a bundle that includes items from multiple monetization channels (for example, a subscription combined with a fixed-fee add-on), the 85/15 split applies to the total net transaction value of the bundle unless the platform has communicated a different fee structure for that specific bundle type in writing.

Platform Fee Review

SGSuperFans reserves the right to modify the platform fee with a minimum of 30 days' written notice to affected creators. Notice will be provided by email to the creator's registered email address and through a notification in the creator dashboard. Continued use of any monetization feature after the effective date of a fee change constitutes acceptance of the new fee structure. See Section 16 for further details on modifications.

Payments

4.Payment Processing and Transaction Flow

SGSuperFans uses third-party payment processors to collect payments from fans and to distribute earnings to creators. By activating monetization on the platform, creators authorize SGSuperFans to collect payments on their behalf and to disburse earnings in accordance with the payout terms in Section 5.

Payment Processors

  • Stripe Connect: Primary processor for credit card and debit card transactions, bank account deposits, and instant payouts in select regions. Stripe charges its own processing fees that form part of the 2.5% to 3.5% deduction described in Section 3.
  • PayPal: Available for fans who prefer PayPal-based payment and for creators electing PayPal as a payout method in eligible jurisdictions.
  • Payunit (Mobile Money): Available for fans and creators in supported African markets through MTN Mobile Money, Airtel Money, Orange Money, and equivalent mobile payment networks.

Payment Authorization and Capture

All fan payments are subject to authorization by the payment processor before the transaction is confirmed. Transactions may be declined by the processor for reasons including insufficient funds, card restrictions, fraud screening alerts, geographic payment blocks, or technical errors. SGSuperFans is not responsible for declined transactions and has no ability to override payment processor authorization decisions.

Hold Period

Funds credited to a creator's earnings balance following a fan payment are subject to a mandatory seven-day hold period before they become available for withdrawal. The hold period protects both creators and fans by providing a window for legitimate chargeback challenges and fraud reversal before earnings are disbursed. Funds pending release during a hold period are displayed separately in the creator's Finance Hub under "Pending."

Recurring Subscription Billing

Subscription transactions are billed automatically on the fan's monthly anniversary date. The payment processor attempts to charge the fan's saved payment method. If the charge fails, the processor may retry according to its own retry schedule before the subscription lapses. Creators are not notified of individual subscription payment failures; aggregate subscription metrics are available in the analytics dashboard. Creators may not contact fans directly to demand payment of a failed subscription charge.

Fan Dispute and Inquiry Handling

SGSuperFans handles all billing inquiries and payment disputes submitted by fans. Creators are not authorized to directly process, decline, or negotiate refunds with fans outside the platform's financial infrastructure. Creator interference with platform-managed payment disputes is a material breach of this policy.

SGSuperFans will never ask a creator to provide their payment card number, bank login credentials, or full account details through the platform, email, or any other communication. Phishing attempts impersonating SGSuperFans should be reported immediately to security@sgsuperfans.com.
Payments

5.Payouts, Schedules, and Thresholds

Creators may request withdrawal of available earnings (funds that have passed the seven-day hold period) through the Finance Hub section of the creator dashboard. All payouts are subject to the conditions and processes described in this section.

Payout Schedule

  • Standard payout processing: The platform processes payout requests weekly. Depending on account tier and region, an option for bi-weekly consolidated processing may be available.
  • Administrative review window: All payout requests are subject to an internal administrative review before release. This review targets completion within three business days of the withdrawal request. Reviews may take longer where the account has been flagged for additional verification, a chargeback investigation is in progress, or a compliance check is required.
  • Delivery to payout method: After administrative approval, actual delivery to the creator's bank account, PayPal balance, or other payout method takes additional time depending on the method chosen (see Section 6).

Administrative Review Criteria

The platform's finance team reviews payout requests against the following criteria before approving release:

  • Account age and transaction history consistent with the requested payout amount
  • Chargeback rate within acceptable limits for the creator's account category
  • No active content policy enforcement action affecting monetization
  • Geographic and sanctions screening: the creator's jurisdiction and payout destination must not be on OFAC, Canadian DFATD, or equivalent sanctions lists
  • Bank account or payout method identity matches the verified creator identity
  • No open fraud investigations involving the creator's account
  • No outstanding balance owed to the platform (for example, from unresolved chargebacks)

Earnings on Account Closure

  • Voluntary closure by creator: SGSuperFans will disburse all verified available earnings within 30 calendar days of account closure confirmation, provided no fraud review or active dispute is ongoing
  • Termination for cause: Where an account is terminated by SGSuperFans for material breach of the Content Creator Agreement, Content Moderation Policy, or this policy, verified available earnings will be reviewed and, subject to any deductions for outstanding chargebacks, fraud recovery obligations, or platform rights, disbursed within 90 calendar days. Earnings derived directly from the violating activity may be forfeited.
  • Disputes before closure: Any earnings disputed by fans, subject to active chargeback proceedings, or identified in a fraud review may be held beyond the above timelines until the dispute is resolved
Creators who anticipate closing their account should submit all outstanding payout requests before closing and allow the full administrative review window to pass. Attempting to close an account with a large pending payout may trigger additional review.
Payments

6.Supported Payout Methods

Creators may connect one or more of the following payout methods through the Finance Hub. Each method has its own processing time, minimum amounts, transaction fees, and geographic availability. All payout methods must be registered in the creator's legal name as verified through KYC.

Mobile Money Coverage

Payunit-based mobile money payouts are available through the following networks: M-Pesa, MTN Mobile Money, Airtel Money, Orange Money, GCash, and Paytm. Network availability depends on the creator's country of residence and may change without notice based on network operator agreements. The platform displays currently available networks in the Finance Hub at the time of payout setup.

Cryptocurrency Payouts

Cryptocurrency payouts are subject to market volatility and network congestion. The value of earnings disbursed in cryptocurrency is calculated in CAD at the exchange rate at the time the payout is approved. Once the payout is dispatched to the blockchain, SGSuperFans cannot reverse or recover it. Creators who elect cryptocurrency payouts acknowledge: (a) the irreversibility of blockchain transactions; (b) their sole responsibility for providing the correct wallet address; and (c) that cryptocurrency gains and losses are subject to taxation in most jurisdictions.

Account Name Match Requirement

The name on every payout method must exactly match the full legal name verified through the creator's KYC identity documents. Payouts to accounts in a third party's name are not permitted. Attempts to add payout accounts in another person's name will trigger an additional fraud review and may result in a payout hold and account investigation.

Currency Conversion

Creators who request payout in a currency other than CAD will receive the equivalent in their local currency at the exchange rate applied by the payment processor at the time of disbursement. SGSuperFans does not guarantee any particular exchange rate and assumes no currency risk on behalf of creators.

Verification

7.Identity Verification and KYC

SGSuperFans is subject to anti-money laundering (AML) obligations and Know Your Customer (KYC) requirements under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA) of Canada and equivalent international legislation. No creator may receive any payout until all KYC requirements for their account have been satisfied.

Standard KYC Documents Required

  • Government-issued photo identification: passport, driver's licence, or national identity card (must be current and not expired)
  • Live selfie or liveness check completed through the platform's identity verification provider
  • Full legal name matching the name on the submitted identity document
  • Date of birth confirming the creator is at least 18 years of age
  • Residential address verified by a proof of address document (utility bill, bank statement, or government letter dated within 90 days)
  • Tax documentation: Form W-9 for US persons, Form W-8BEN for non-US persons receiving US-source income, or the equivalent local form required by the creator's jurisdiction

Additional Requirements for Stripe Connect

  • Bank account number and routing/sort code
  • Bank account holder name (must match verified KYC name)
  • Stripe's own identity verification process (completed within 24 to 48 hours of account linking)

Additional Requirements for Payunit

  • Registered mobile phone number linked to the mobile money account
  • SMS one-time password (OTP) verification
  • Government-issued ID for Payunit's own KYC layer (MTN and Airtel networks)

KYC Re-Verification

SGSuperFans reserves the right to require a creator to complete a fresh KYC verification at any time if: (a) the creator's identity documents have expired; (b) there is a material change in the creator's payout method or account details; (c) the creator's account triggers an AML or fraud alert; or (d) applicable law requires periodic re-verification. A payout hold may be applied during the re-verification process.

Document Retention and Privacy

KYC documents submitted through the platform are processed by the third-party identity verification provider and retained in accordance with the platform's Privacy Policy and applicable law. SGSuperFans does not directly retain copies of identity documents beyond the period required for legal compliance. Creators may contact privacy@sgsuperfans.com regarding the handling of their personal data.

Submitting false, altered, or fraudulent identity documents is a criminal offence in Canada under the Criminal Code and equivalent international legislation. It will result in immediate permanent account termination, forfeiture of all earnings, and referral to law enforcement.
Pricing Rules

8.Subscription Pricing and Modifications

Creators who offer recurring subscription tiers to fans must follow the pricing and communication rules in this section. These rules are designed to protect fans from unexpected price changes and to maintain the integrity of the subscription model.

Setting Subscription Prices

  • Each subscription tier must be priced within the minimum and maximum thresholds displayed in the creator dashboard at the time of tier creation; the platform may update these thresholds periodically with 30 days' notice
  • Creators may operate multiple subscription tiers simultaneously, each offering distinct benefits or content access levels
  • Subscription prices are displayed to fans inclusive of all platform charges; no additional platform-level fees are charged to fans at checkout beyond the advertised tier price
  • Creators may not charge fans any supplemental fees for subscription access outside the platform subscription mechanism; directing fans to off-platform subscription payments is prohibited

Price Increases

A creator may increase the price of an existing subscription tier subject to the following conditions:

  • The creator must notify all existing subscribers at the affected tier at least 30 calendar days before the new price takes effect; the platform will automatically deliver this notice to affected fans via the platform's notification system when the creator submits the price change in the dashboard
  • Existing subscribers retain their current price through the end of the billing cycle immediately before the new price takes effect; the new price applies from the first billing cycle that begins after the noticed effective date
  • A fan who does not want to pay the new price may cancel before the effective date; SGSuperFans will not facilitate loyalty pricing locks beyond the notice period

Promotional Pricing and Discounts

  • Creators may offer promotional pricing (introductory rates, bundle discounts, limited-time offers) through the promotional tools available in the dashboard
  • Promotional pricing must clearly state its duration and the standard price that will apply after the promotion ends; the platform will display this information to fans at the point of subscription
  • After a promotion expires, the fan's next billing cycle reverts to the standard tier price; this reversion does not constitute a "price increase" requiring the 30-day notice above

Subscription Cancellation

Fans may cancel a subscription at any time through their account settings. Upon cancellation, the fan retains access through the end of the current billing period with no pro-rated refund. Creators must not take any action to prevent or obstruct a fan's ability to cancel a subscription, including making cancellation difficult to find, adding undue friction to the cancellation flow, or contacting fans to pressure them not to cancel.

9.Tips, Gifts, and Pay-Per-View

Tips and Contributions

Tips are voluntary fan-initiated payments. The platform provides preset tip amounts and an option for fans to enter a custom amount:

Tips are non-refundable once sent, except where the fan initiates a chargeback through their payment provider. The creator acknowledges that tips represent a voluntary payment from the fan and creates no obligation on the creator to provide any content, service, or benefit in return beyond what may have been expressly promised as part of a specific tip incentive.

Virtual Gifts

Virtual gifts are purchasable items sent during live streams and events. Platform-defined gift tiers are priced as follows:

Virtual gift purchases by fans are converted to creator earnings credits in the same billing cycle they are received. The 85/15 revenue share applies to virtual gift transactions. Virtual gifts are non-refundable once sent unless the transaction is reversed through a bank-initiated chargeback. Gifts are cosmetic and functional only within the platform; they have no monetary value outside the platform and cannot be converted back to fan wallet credit.

  • PPV purchases grant the fan a non-exclusive, non-transferable license to access the purchased content through the platform for as long as the content is available on the platform and the fan account is in good standing

Obligations

10.Tax Obligations and Reporting

Creators are solely responsible for understanding and satisfying all tax obligations arising from their income earned on the SGSuperFans platform. SGSuperFans does not provide tax advice. Creators should consult a qualified tax professional in their own jurisdiction.

Creator Tax Status

Because creators are independent contractors and not employees, SGSuperFans does not deduct income tax, Canada Pension Plan contributions, Employment Insurance premiums, or any equivalent at-source deductions from creator earnings. Creators receive their full 85% share of net transactions subject only to the deductions and withholdings described below.

Withholding Taxes

Where applicable law requires SGSuperFans to withhold tax on payments made to creators in certain jurisdictions or on certain income types, SGSuperFans will withhold the required amount and remit it to the relevant tax authority. The net payout to the creator will be reduced by the withheld amount. Creators who provide a valid tax exemption certificate or equivalent documentation may reduce or eliminate applicable withholding; such documentation must be submitted through the Finance Hub before payouts are processed.

GST/HST and Value Added Tax

  • Canadian creators: Once a creator's total taxable supplies from all sources exceed CAD $30,000 in a 12-month period, the creator is required under the Excise Tax Act (Canada) to register for GST/HST, collect GST/HST from applicable customers, and remit it to the CRA. SGSuperFans does not collect or remit GST/HST on behalf of creators.
  • Non-Canadian creators with EU or UK fans: Depending on volume, creators may be required to register for VAT or the equivalent consumption tax in European Union member states or the United Kingdom. This is the creator's independent legal obligation.
  • Platform service fee: SGSuperFans may collect and remit GST/HST on its own platform service fee (15%) as required by Canadian law. This does not affect the creator's own GST/HST obligations on their revenue.

Annual Earnings Statement

Creators may download a detailed annual earnings statement from the Finance Hub at any time. The statement breaks down total transactions, gross fan payments, platform fees, processing fees, and net earnings by month. This statement is provided for record-keeping purposes and does not constitute a tax return or formal tax accounting document.

Failure to report earnings from the platform as required by applicable tax law is the creator's legal responsibility, not the platform's. SGSuperFans cooperates fully with lawful requests from tax authorities and will provide required information subject to applicable legal process.
Obligations

11.Chargebacks, Refunds, and Disputes

A chargeback occurs when a fan disputes a charge directly with their bank or card issuer, resulting in the payment processor reversing the original transaction. Chargebacks carry direct financial consequences for creators and are governed by the rules in this section.

Chargeback Cost to Creator

  • When a fan successfully disputes a transaction and a chargeback is upheld by the payment processor, the full transaction amount is reversed from the creator's earnings balance
  • In addition, a chargeback processing fee of CAD $15.00 to CAD $25.00 per occurrence is deducted from the creator's earnings balance; the exact fee depends on the payment processor and the transaction type
  • If the creator's earnings balance is insufficient to cover a chargeback reversal and processing fee, a negative balance will be recorded and deducted from the creator's next available earnings

Chargeback Dispute Evidence

When a chargeback is filed, SGSuperFans notifies the creator and provides a window to submit supporting evidence that the transaction was legitimate. Evidence that may be submitted through the platform's dispute interface includes: proof of content delivery, message thread logs, subscriber agreement records, and any other documentation supporting the validity of the original charge. SGSuperFans submits this evidence to the payment processor on the creator's behalf. SGSuperFans does not guarantee any particular outcome from the chargeback dispute process; final decisions rest with the payment processor and the fan's bank.

Platform-Mandated Refunds

The following circumstances require the platform to issue a refund to the fan that is recovered from the creator's earnings balance:

  • The creator cancelled a ticketed live event without rescheduling within the allowed window
  • The creator failed to fulfill a shoutout or custom content order within the stated fulfillment window
  • A physical merchandise order was demonstrably undelivered, lost in transit, or materially different from its description, and the creator failed to resolve the complaint within the platform's prescribed support response window
  • A pre-order was not fulfilled within 14 calendar days of the stated delivery date
  • Content was determined by the Trust and Safety team to have been materially misrepresented at the point of sale (for example, a video described as 10 minutes but delivering under 2 minutes of substantive content)

Non-Refundable Transactions

  • Tips and virtual gifts sent by fans are non-refundable once received by the creator
  • Subscription payments are non-refundable on cancellation; access continues through the end of the billing period
  • Pay-per-view purchases for content that was accurately described and successfully delivered are non-refundable at SGSuperFans' discretion, subject to the platform-mandated refund triggers above

Chargeback Threshold Policy

A creator whose chargeback rate exceeds acceptable thresholds set by the platform's payment processor (typically 1% to 2% of monthly transaction volume) will be subject to: enhanced transaction monitoring, payout holds pending investigation, temporary suspension of specific monetization channels, or account suspension. Persistent high chargeback rates may result in permanent removal of monetization privileges or account termination. Creators with elevated chargeback exposure should contact finance@sgsuperfans.com to discuss their situation proactively.

Obligations

12.Prohibited Monetization Conduct

The following conduct is prohibited in connection with monetization on the SGSuperFans platform and constitutes material breach of this policy. Violations may result in immediate suspension of monetization access, payout holds, account termination, and in serious cases, referral to law enforcement.

Financial Fraud and Manipulation

  • Fan fraud: Collecting payment from fans for content or services that the creator has no intention or ability to provide; creating false urgency, scarcity, or incentives to induce fan payments under false pretenses
  • Earnings manipulation: Using fake fan accounts, bots, coordinated networks, or any artificial mechanism to generate fraudulent subscription payments, tips, PPV purchases, or virtual gift transactions that inflate the creator's earnings balance
  • Refund abuse: Colluding with fans to generate artificial chargebacks or refunds to exploit the chargeback dispute process or to move money through the platform without corresponding legitimate commercial activity
  • Identity fraud in payments: Connecting payout accounts in another person's name; using stolen card details or bank credentials to fund a fan wallet that then makes payments to the creator's account

Off-Platform Payment Circumvention

  • Directing fans to make payments to the creator via Venmo, Cash App, wire transfer, cryptocurrency wallets, or any other off-platform mechanism in consideration of platform content or services, where that direction occurs through platform communications
  • Publishing payment links, QR codes, or wallet addresses in content captions, bios, direct messages, or any other platform-accessible field for the purpose of collecting payment outside the platform payment infrastructure

Deceptive Pricing and Descriptions

  • Advertising subscription or PPV content at a price in one location and charging a different price at checkout without clear disclosure
  • Describing content in a materially misleading way to induce purchases (e.g., claiming content is new when it has been previously sold on the platform, or misrepresenting content length or format)
  • Offering fictitious investment returns, guaranteed earning schemes, or unlicensed financial promotions through the platform in exchange for fan payments

Unlicensed and Regulated Activity

  • Using the platform to collect payments for activities that require a specific professional licence, government authorization, or regulatory approval in the creator's or fan's jurisdiction without holding that licence or authorization (for example: unlicensed medical advice for which a fee is charged, unlicensed financial advice sold as investment guidance, or controlled substance sales)
  • Accepting payments in connection with prohibited content categories set out in the Content Moderation Policy, including CSAM, trafficking facilitation, or terrorism-related content
Earnings derived from prohibited monetization conduct are subject to forfeiture. Any earnings balance generated through fraud, money movement abuse, or exploitation of the payment infrastructure will be voided, and the platform will cooperate fully with law enforcement and financial regulators in any resulting investigation.
Account

13.Suspension, Termination, and Earnings

This section defines what happens to creator earnings, pending payouts, and subscriber relationships when a creator account is subject to enforcement action, voluntary closure, or any suspension or termination event.

Monetization Suspension (Account Remains Active)

The platform may suspend a creator's ability to activate monetization features while permitting continued access to the account and its content. During a monetization suspension:

  • Existing active subscriptions continue to renew; subscription earnings continue to be credited to the creator's balance at the standard revenue share
  • New PPV, tip, shoutout, event ticket, and live stream monetization may be disabled depending on the specific enforcement measure applied
  • Existing available earnings may be held pending resolution of the underlying enforcement matter
  • The creator will receive notification of the specific scope of the suspension and its basis

Full Account Suspension

During a full account suspension: no new fan transactions are processed; existing subscription renewals are paused; all payout requests are placed on hold pending resolution; and the creator does not accrue new earnings. The duration of the suspension and its resolution pathway will be communicated in the suspension notice.

Account Termination: Voluntary Closure

  • All active subscriptions are cancelled effective the closure date; fans are notified and access ends
  • Existing earnings in the balance that have passed the hold period will be disbursed within 30 calendar days, subject to any open chargebacks or disputes
  • Earnings still within the seven-day hold period will be reviewed and, if no disputes arise, disbursed within 30 days
  • Content uploaded by the creator is removed in accordance with the platform's data retention and deletion policy

Account Termination: For Cause

  • Subscriptions are cancelled immediately; depending on the nature of the violation, fans may or may not be eligible for pro-rated refunds at the platform's discretion
  • All payout requests and pending earnings are frozen pending a full financial review; the review period is up to 90 calendar days
  • Earnings determined to have been generated through or in connection with the violating conduct may be forfeited; the remainder will be disbursed at the conclusion of the review
  • The platform will cooperate with any chargeback proceedings initiated by fans relating to transactions made before or after the termination event
  • The creator's obligation to indemnify SGSuperFans for losses arising from the violating conduct survives account termination; the platform may recover such losses from any balance held

Fan Subscription Obligations on Termination

When an account is terminated for cause, SGSuperFans reserves the right to issue refunds to fans for the unused portion of their current subscription period at platform cost. Any refunds issued by the platform for terminated account subscriptions will be recovered from the creator's earnings balance or treated as a debt owed by the creator to the platform.

Account

14.Intellectual Property in Monetized Content

Creators retain ownership of all original content they create and upload to the platform. The following intellectual property rules govern how the platform uses that content and what rights fans receive upon purchase.

License Granted to SGSuperFans

By uploading monetized content to the platform, each creator grants SGSuperFans a limited, non-exclusive, worldwide, royalty-free licence to:

  • Host, store, transcode, cache, and distribute the content to fans who have paid for access to it
  • Create thumbnails and content previews for display in the platform's discovery and catalog features
  • Use the content in backup, archival, and disaster recovery systems
  • Display promotional excerpts or snippets of the content in platform marketing with the creator's separate prior written consent for each specific marketing use

This licence does not constitute a transfer of copyright. SGSuperFans does not claim ownership of any creator content. The licence ends when the content is permanently deleted from the platform by the creator or by the platform under an enforcement action, subject to retention requirements under applicable law or ongoing dispute processes.

License Granted to Fans

When a fan purchases access to a pay-per-view item, activates a subscription, or otherwise pays for content, the fan receives a personal, non-exclusive, non-transferable, non-sublicensable licence to access and view the content through the platform for their own personal, non-commercial use. The fan does not acquire any copyright, distribution right, reproduction right, or other intellectual property right in the content by virtue of paying for access.

Creator Warranties Regarding Third-Party IP

By uploading any monetized content, the creator represents and warrants to SGSuperFans that:

  • The creator is the sole author or holds a valid licence for all content in the upload, including any music, video clips, photographs, graphics, or other third-party material included
  • Publishing and monetizing the content on the platform does not infringe the copyright, trademark, right of publicity, privacy right, or any other intellectual property or personal right of any third party
  • All music synchronized in video content is either original, fully cleared for commercial digital distribution through appropriate sync and master licences, or within the scope of a blanket licence applicable to the platform

DMCA Repeat Infringer Policy

Creators who receive three or more valid, undisputed copyright takedown notices within any rolling 12-month period will have their accounts permanently terminated, irrespective of their earnings level or account standing in other respects. See the Content Moderation Policy for the full takedown notice and counter-notification process.

Using unlicensed music or third-party video in monetized content exposes the creator to both platform enforcement and direct civil liability to the rights holder. The platform assumes no liability for copyright infringement in creator content and will be indemnified by the creator for any claims arising from such infringement.
Account

15.Liability Limitations

This section sets out the limits of SGSuperFans' liability to creators in connection with the monetization features and financial services described in this policy. These limitations apply to the maximum extent permitted by applicable law.

No Guarantee of Earnings

SGSuperFans makes no representation or warranty that any creator will achieve any particular level of revenue, subscribers, views, engagements, or other commercial outcome. Platform performance, algorithmic distribution, feature availability, and payment processor operations may all affect a creator's earnings without giving rise to any claim against SGSuperFans.

Payment Processor Failures

SGSuperFans is not liable for failures, delays, or errors by third-party payment processors including Stripe, PayPal, Payunit, or any other processor, except where the failure results directly from SGSuperFans' own negligence. Fan payment failures, declined transactions, processing errors, and processor outages are not within SGSuperFans' control or responsibility.

Tax and Legal Advice

SGSuperFans provides no tax advice, legal advice, accounting services, or financial planning services to creators. Nothing in this policy, the creator dashboard, any platform communication, or any platform feature constitutes tax or legal advice. Creators who rely on SGSuperFans for such guidance do so at their own risk.

Monetary Cap on Platform Liability

To the maximum extent permitted by law, SGSuperFans' aggregate liability to any creator arising from or related to this policy, the platform's monetization features, or any payment or payout transaction, for any cause of action whether in contract, negligence, or any other tort, shall not exceed the greater of:

  • The total amount of platform service fees (the platform's 15% share) paid by the creator's fans to SGSuperFans in the 12 months immediately preceding the event giving rise to the claim; or
  • CAD $500.00

Excluded Losses

SGSuperFans is not liable for any: loss of anticipated revenue, profits, or subscription income; loss of data or content; loss of business opportunity; reputational damage; indirect, incidental, special, exemplary, consequential, or punitive damages of any kind arising out of or related to the platform, even if SGSuperFans has been advised of the possibility of such damages.

Creator Indemnification

Each creator agrees to indemnify, defend, and hold harmless SGSuperFans Inc., its officers, directors, employees, contractors, affiliates, licensors, and service providers from any claim, demand, action, loss, liability, damage, or expense (including reasonable legal fees) arising out of or related to: (a) the creator's content; (b) monetization activities conducted through the platform; (c) the creator's breach of this policy; (d) the creator's violation of any applicable law; or (e) any claim by a third party relating to the creator's products, services, or conduct on or off the platform.

These limitations are a fundamental part of the basis on which SGSuperFans provides the platform to creators at the 15% fee rate. Without these limitations, the platform would not be able to operate at the current fee level. Creators in jurisdictions where certain liability limitations are not enforceable retain their statutory rights under applicable law.

16.Amendments to Revenue Terms

SGSuperFans operates in a dynamic regulatory and commercial environment. Platform economics, payment processor fee structures, compliance requirements, and competitive conditions may all require changes to the financial terms in this policy from time to time. This section governs how such changes are communicated and when they take effect.

Creator Response to Material Changes

Where a material change reduces the creator's financial entitlement (for example, a reduction in the creator's revenue share percentage), the creator may terminate the Content Creator Agreement and close their account without penalty before the effective date of the change. Continued use of any monetization feature after the effective date of a change constitutes irrevocable acceptance of the updated terms.

No Retroactive Changes

Changes to revenue share percentages, platform fees, and payout thresholds do not apply retroactively to transactions that occurred before the effective date of the change. Earnings already credited to the creator's balance before the change takes effect are credited at the revenue share rate in effect at the time of the transaction.

Monitoring for Changes

Creators are responsible for maintaining a current email address in their account and for monitoring platform dashboard notifications. SGSuperFans is not liable for a creator's failure to receive a change notice resulting from an outdated email address, aggressive spam filtering, or failure to check the dashboard.

Legal

17.Governing Law and Dispute Resolution

This policy is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles that would require the application of the law of another jurisdiction.

Mandatory Arbitration

Any dispute, controversy, or claim arising out of or related to this policy, the platform's monetization features, any payment or payout transaction, or the Content Creator Agreement shall be finally resolved by binding arbitration conducted by the ADR Institute of Canada in accordance with its National Arbitration Rules. The arbitration shall take place in Toronto, Ontario unless the parties agree otherwise in writing.

Class Action Waiver

All claims must be brought in the party's individual capacity and not as a plaintiff or class member in any purported class action, collective action, private attorney general action, or other representative proceeding. Neither the arbitrator nor any court may consolidate more than one person's claims or otherwise preside over any form of representative or class proceeding with respect to the claims of creators unless SGSuperFans provides written consent.

Injunctive and Equitable Relief

Notwithstanding the mandatory arbitration clause, either party may seek interim or preliminary injunctive relief or other equitable remedy from a court of competent jurisdiction in Ontario where necessary to prevent irreparable harm pending arbitration outcomes.

Informal Dispute Resolution

Before initiating formal arbitration, the creator agrees to submit a written notice describing the nature of the dispute, the specific monetary amount claimed, and the relief sought to SGSuperFans at legal@sgsuperfans.com. SGSuperFans agrees to attempt to resolve the dispute by good-faith negotiation within 30 calendar days of receiving the written notice. If the parties cannot reach a resolution within that period, either party may initiate formal arbitration.

Statute of Limitations

Any claim arising from or related to this policy must be brought within one year of the date the creator knew or reasonably should have known of the facts giving rise to the claim, notwithstanding any longer limitation period that might otherwise apply under applicable law.

Severability

If any provision of this policy is found to be invalid or unenforceable by an arbitrator or court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remainder of the policy shall remain in full force and effect.
