Content Creator Agreement

This Agreement governs your participation as a Content Creator on the SGSuperFans platform. It sets out your rights, obligations, revenue entitlements, content responsibilities, and the relationship between you and SGSuperFans Inc. Please read every section carefully before publishing content or receiving payments.

Important Notice: By applying for Creator status, activating your Creator account, publishing any content, or receiving any payout through SGSuperFans, you acknowledge that you have read, understood, and agree to be legally bound by this Content Creator Agreement in its entirety. This Agreement supplements and incorporates by reference the SGSuperFans Terms of Service, Privacy Policy, and all applicable platform policies. If you do not agree, you must not activate or continue as a Creator on the platform.
Fundamentals

1.Agreement & Nature

This Content Creator Agreement (“Agreement”) is entered into between you (“Creator,” “you,” or “your”) and SGSuperFans Inc. (“SGSuperFans,” “Company,” “we,” “us,” or “our”), a corporation duly incorporated under the laws of Ontario, Canada.

SGSuperFans operates a premium digital platform connecting Creators with their fan communities. The platform enables Creators to publish, distribute, and monetize original content through multiple channels including subscriptions, pay-per-view releases, live-streamed events, direct messaging, personalized shoutouts, virtual gifts, and merchandise sales.

What This Agreement Covers

This Agreement governs all aspects of your participation as a Creator, including:

  • Your rights and obligations in publishing content on the platform.
  • The terms under which SGSuperFans distributes and monetizes your content.
  • Revenue share, payout schedules, and payment processing rules.
  • Content standards, prohibited content, and enforcement procedures.
  • Age verification and adult content compliance obligations.
  • Your legal relationship with SGSuperFans as an independent contractor.
  • Termination rights, dispute resolution, and governing law.

This Agreement is incorporated by reference into and forms part of the SGSuperFans Terms of Service. In the event of any conflict between this Agreement and the Terms of Service on matters specifically related to Creator activities, this Agreement prevails to the extent of the inconsistency.

Fundamentals

2.Creator Eligibility

To qualify as a Creator on SGSuperFans and to maintain that status in good standing, you must at all times satisfy every one of the following requirements.

Age Requirement

You must be at least 18 years of age at the time of application and throughout your participation as a Creator. SGSuperFans enforces a strict zero-tolerance policy regarding underage participation. Misrepresentation of your age will result in immediate and permanent account termination, forfeiture of any accrued but unpaid earnings, and may result in referral to law enforcement authorities.

Identity & Residency

  • You must be a natural person (not a corporate entity, except where a verified business account has been expressly approved by SGSuperFans in writing).
  • You must be legally permitted to work and receive income under the laws of your country and region of residence.
  • You must not be located in, organized under, or controlled by a person or entity subject to Canadian, United States, European Union, or United Nations sanctions lists.
  • You must have a valid government-issued photo identification document for identity verification purposes.
  • You must have a valid bank account or approved payment method capable of receiving electronic funds transfers in your name.

Conduct & Standing

  • You must not have been previously permanently banned from SGSuperFans or any affiliate platform for a policy violation.
  • You must not be subject to any order, injunction, or legal proceeding that would prevent you from entering into this Agreement or performing your obligations under it.
  • You must agree to complete and maintain all verification steps required by SGSuperFans, including re-verification upon request.
SGSuperFans reserves the right to deny, suspend, or revoke Creator status at any time if eligibility requirements are not met or can no longer be verified. Eligibility determinations are made at the sole discretion of SGSuperFans.

3.Account Setup & Verification

Becoming a Creator on SGSuperFans requires completing a structured onboarding and verification process. This process exists to protect the platform, fans, and other Creators, and to satisfy our legal and regulatory obligations.

Identity Verification

You are required to submit:

  • A clear, unaltered copy of a valid government-issued photo identification document (for example: passport, national identity card, or driver’s license).
  • A selfie or live photo taken at the time of application matching the submitted identification document.
  • Your full legal name, date of birth, and residential address.

Banking & Payment Information

To receive payouts, you must provide accurate and complete banking or payment account details. Accepted payout methods are listed within your Creator Dashboard and may be updated by SGSuperFans from time to time. You are solely responsible for ensuring your payout information is accurate and current. SGSuperFans is not liable for any delayed, failed, or misdirected payments resulting from inaccurate or outdated account details you have provided.

Tax Documentation

Depending on your jurisdiction of residence, you may be required to provide a tax identification number, completed tax form (such as a W-9, W-8BEN, or equivalent), or other documentation required by applicable tax authorities. You agree to provide such documentation promptly upon request. Failure to provide required tax documentation may result in withholding taxes being applied to your earnings or suspension of payouts.

Account Accuracy

You represent that all information provided during registration and verification is true, accurate, current, and complete. You agree to promptly update your account information whenever it changes. Providing false, misleading, or incomplete information at any stage constitutes a material breach of this Agreement and may result in immediate termination and withholding of any accrued earnings pending investigation.

Account Security

Your Creator account credentials are personal to you and may not be shared with, transferred to, or used by any other person. You are solely responsible for all activity that occurs under your account. SGSuperFans will never ask you for your password via email, phone call, or platform message. If you suspect unauthorized access to your account, you must notify us immediately at security@sgsuperfans.com.

4.Independent Contractor Status

Your relationship with SGSuperFans is that of an independent contractor. Nothing in this Agreement, and nothing arising from your participation as a Creator on the platform, shall be construed to create an employment, agency, joint venture, partnership, franchise, or any other form of legal association between you and SGSuperFans.

What This Means Practically

  • You are not an employee of SGSuperFans and are not entitled to any employee benefits, including but not limited to vacation pay, sick leave, pension, employment insurance, health insurance, workers’ compensation, or statutory notice of termination pay.
  • SGSuperFans does not control the manner, means, or schedule by which you create your content, subject only to the content standards and prohibited content rules set out in this Agreement.
  • You are responsible for providing your own equipment, software, and workspace required to create and publish content.
  • You are free to engage in other work, business activities, or monetize your content on other platforms, subject to any exclusivity arrangements you may separately agree to in writing with SGSuperFans.

Tax & Regulatory Responsibility

As an independent contractor, you are solely responsible for: (a) paying all income taxes, self-employment taxes, and any applicable VAT, GST, HST, or equivalent consumption taxes on your earnings; (b) making all required remittances to relevant tax authorities; and (c) complying with all regulatory requirements applicable to your business activities as a content creator in your jurisdiction. SGSuperFans is not responsible for withholding or remitting any taxes on your behalf except where expressly required to do so by applicable law.

SGSuperFans provides transaction records and annual earnings statements within your Creator Dashboard to assist you in meeting your filing obligations. These documents do not constitute tax advice.
Content

5.Content Ownership & License

As between you and SGSuperFans, you retain all copyright and other intellectual property rights in the original content you create and publish on the platform (“Creator Content”). SGSuperFans does not claim ownership over your content.

License Grant to SGSuperFans

By publishing content on the platform, you grant SGSuperFans a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, transmit, display, reproduce, transcode, distribute, and make available your Creator Content solely for the purposes of: (a) operating and providing the platform and its features; (b) delivering purchased content to authorized fans; (c) displaying previews or thumbnails to promote your content within the platform; and (d) complying with legal obligations, including responding to valid court orders or law enforcement requests.

Scope Limitations

  • SGSuperFans will not sell, license, or transfer your content to third parties for commercial purposes outside the platform without your prior written consent.
  • SGSuperFans will not use your content in advertising or marketing materials directed at third parties outside the platform without your prior written consent.
  • The license you grant does not affect your right to publish the same content on other platforms, unless you have separately entered into an exclusivity agreement with SGSuperFans.

License Grant to Fans

When a Fan purchases access to your content, you grant that Fan a limited, personal, non-transferable, non-sublicensable license to view, stream, or otherwise access that content for personal, private, non-commercial use only. Fans may not download (unless explicitly enabled by you), copy, reproduce, redistribute, sell, or otherwise exploit your content beyond this personal use license. You acknowledge that SGSuperFans facilitates these fan licenses as your agent in that limited respect.

Third-Party Content

You represent and warrant that your Creator Content does not incorporate any third-party material (including music, video clips, images, or text) except where you hold a valid license or the use is clearly permitted under applicable law. You are solely responsible for obtaining all necessary rights and clearances for any third-party material included in your content.

Content Removal Effect on License

When you remove content from the platform, SGSuperFans’s right to distribute that content to new purchasers terminates. However, Fans who have already purchased access to that content prior to removal retain their personal use license, and SGSuperFans may continue to serve that content to those existing purchasers for a commercially reasonable wind-down period.

6.Content Standards

All content published on SGSuperFans must meet the following baseline standards at all times. These standards exist to protect fans, other Creators, the reputation of the platform, and SGSuperFans’s legal compliance obligations.

Accuracy & Authenticity

  • Your profile, bio, and promotional materials must accurately represent who you are. You may not impersonate another person, brand, or public figure.
  • Content described as “exclusive,” “private,” or “unreleased” must genuinely be that. Misrepresenting the nature or exclusivity of content to induce fan purchases constitutes fraud and will result in immediate termination and potential legal action.
  • Testimonials, claims of outcomes, or earnings representations in your promotional content must be truthful and not misleading.

Consent & Participation

  • Any third party who appears in your content, including in any intimate or adult content, must have provided their prior, informed, and documented written consent to appear in that content and to have it distributed on this platform.
  • You must retain signed consent records for all such third parties and must produce them to SGSuperFans upon request within 5 business days.
  • You must never publish content featuring any person who did not explicitly consent, including content created without the subject’s knowledge or in violation of a reasonable expectation of privacy.

Quality & Delivery

  • Content offered for sale must be delivered as described in all material respects, including in terms of format, duration, and subject matter.
  • If you accept a custom content request or shoutout order, you must fulfill it within the time frame you have specified or, if none specified, within 7 days of acceptance.
  • You must not cancel subscriptions or custom orders without a valid reason and without issuing any applicable refunds as required under Section 16.

Respect & Dignity

  • Content must not demean, harass, bully, or threaten any identifiable individual, whether a fan, another Creator, or a third party.
  • Content containing hate speech directed at any person or group on the basis of race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic is strictly prohibited.

7.Prohibited Content

The following categories of content are absolutely prohibited on SGSuperFans. Publishing, distributing, or facilitating any of this content will result in immediate and permanent account termination, forfeiture of all accrued earnings, and referral to law enforcement authorities where required by law.

Child Safety

  • Any content that sexually exploits, displays, depicts, or implies the sexual abuse of minors (“CSAM”). This is a non-negotiable, zero-tolerance policy.
  • Any content featuring individuals who appear to be under 18 years of age in a sexual context, regardless of claimed age or whether the content is modeled, animated, or digitally generated.
  • Any content that grooms, solicits, targets, or facilitates access to minors for any purpose.

Violence & Harmful Content

  • Graphic violence, torture, or content glorifying or inciting acts of violence against any person or group.
  • Content promoting, glorifying, or providing instructions for self-harm, suicide, or eating disorders.
  • Content that threatens, incites, or facilitates credible acts of violence, terrorism, or organized criminal activity.

Non-Consensual Content

  • Non-consensual intimate imagery (“NCII”) of any kind, including content recorded, shared, or distributed without the explicit consent of all persons depicted.
  • Deepfakes, synthetic media, or AI-generated content depicting real individuals in sexual or intimate situations without documented proof of their consent.
  • Hidden camera footage, voyeuristic content, or content obtained through surveillance without consent.

Illegal Activity

  • Content that facilitates, instructs, or promotes illegal activity of any kind, including drug trafficking, weapons trafficking, human trafficking, or financial fraud.
  • Content offering guaranteed sexual services in exchange for payment, which may recharacterize a platform transaction as solicitation under applicable law.
  • Content that violates third-party intellectual property rights without authorization.

Scams & Manipulation

  • Content or communications designed to deceive fans into making purchases based on false pretenses, manufactured urgency, or misleading claims.
  • Selling or advertising services, products, or investment opportunities not available on the platform or that constitute financial fraud.
  • Use of fake engagement metrics, purchased followers, or automated bots to inflate your apparent popularity or induce fan subscriptions.
Monetization

8.Platform Fees & Revenue Share

SGSuperFans operates on a transparent revenue-sharing model designed to reward Creators for the content they produce and the communities they build.

Standard Revenue Split

For all monetization transactions processed through the platform, including subscriptions, pay-per-view purchases, tips, virtual gifts, live event ticket sales, and shoutout fees, the revenue is split as follows:

Transaction Processing Fees

In addition to the platform fee, third-party payment processors charge transaction processing fees (typically 2.5% to 3.5% per transaction depending on the payment method and geographic region). These processor fees are deducted from the gross transaction amount before the 85/15 revenue split is calculated. SGSuperFans does not mark up or profit from payment processing fees.

Currency

All transactions on the platform are settled in Canadian Dollars (CAD) unless SGSuperFans has separately notified you of an approved alternative currency arrangement. Currency conversions, where applicable, are processed at the rate applied by the payment processor at the time of the transaction. SGSuperFans is not responsible for exchange rate fluctuations.

Fee Changes

SGSuperFans reserves the right to adjust the platform fee percentage with at least 30 days’ prior written notice to Creators via the platform dashboard or email. Any adjusted fee will apply only to transactions processed after the effective date of the change. Continued use of the platform after the effective date constitutes acceptance of the revised fee.

SGSuperFans does not charge monthly fees, listing fees, or access fees to Creators. You only pay the platform fee on revenue you actually earn.

9.Subscriptions

The subscription feature allows you to charge fans a recurring monthly fee for access to your subscriber-exclusive content, communications, and benefits.

Setting Subscription Prices

  • You set your own monthly subscription price within the minimum and maximum thresholds established by SGSuperFans from time to time and displayed in your dashboard settings.
  • You may offer tiered subscription levels with different price points and access levels. Each tier must clearly describe the benefits it includes.
  • You may change your subscription price at any time, but existing subscribers must be given at least 30 days’ notice of any price increase before their next billing cycle.

Creator Obligations to Subscribers

  • You must publish a reasonable volume of new content for your subscribers that is commensurate with your subscription price. SGSuperFans does not prescribe a minimum posting frequency, but posting no content for 30 consecutive days while charging an active subscription without prior notice to subscribers may result in platform intervention.
  • You must not delete or restrict access to content that was specifically advertised or described as part of a subscriber benefit without issuing affected subscribers a proportionate partial refund or equivalent credit.
  • You are responsible for delivering the subscription benefits you have promised and described in your profile. Systematic failure to deliver promised subscriber benefits constitutes a material breach of this Agreement.

Subscription Cancellations & Refunds

Fans may cancel their subscriptions at any time through the platform. Upon cancellation, access continues through the end of the paid billing period. SGSuperFans does not issue pro-rated refunds on subscription cancellations in standard circumstances. See Section 16 for the full refund policy.

Platform Promotional Programs

SGSuperFans may offer fans introductory promotional offers such as free trials or discounted first months on subscriptions. Where such promotions are platform-initiated, the cost of the promotional discount is shared proportionally between SGSuperFans and the Creator. You will be notified of any promotional program that applies to your subscription tier before it takes effect, and you may opt out.

Monetization

10.Pay-Per-View Content

Pay-per-view (“PPV”) content allows you to charge fans a one-time fee to access specific pieces of content, such as a video, photo set, or audio recording, on top of or independent of any subscription.

Pricing & Description

  • You set the price for each PPV item within the permitted price range displayed in the platform dashboard.
  • Each PPV item must include a clear, accurate description and a representative thumbnail or preview sufficient to allow a fan to make an informed purchase decision.
  • You must not describe content in a way that materially misrepresents what is delivered. Misrepresentation of PPV content is a serious policy violation and may result in mandatory refunds, platform penalties, and account suspension.

Delivery Obligations

  • Content listed for PPV purchase must be available immediately upon purchase unless it is expressly listed as “pre-order” content with a clearly stated delivery date.
  • Pre-order content must be delivered no later than 14 days after the stated delivery date. Failure to deliver pre-order content by that deadline entitles affected fans to a full refund.
  • You may not remove PPV content that fans have already purchased. Purchased content remains accessible to purchasers for a minimum of 12 months after the date of purchase, or such longer period as stated at the time of sale.

Sent PPV Messages

The platform also supports PPV content delivered directly via the messaging feature (“mass messages” or “locked DMs”). When you send a locked message to fans, the purchase is voluntary. You must not use deceptive subject lines or preview text to mislead fans about what a locked message contains.

Monetization

11.Tips & Virtual Gifts

The platform enables Fans to send you monetary tips and virtual gifts as a direct expression of appreciation and support.

Tips

  • Fans may send you tips of any amount within platform-defined minimum and maximum limits, either attached to a specific piece of content or sent as a standalone gesture.
  • Tips are voluntary gratuitous payments from fans. No specific service, content, or interaction is implied or guaranteed in exchange for a tip, unless you have explicitly represented otherwise. Do not promise guaranteed services, sexual acts, or specific content in exchange for tips, as doing so may recharacterize the transaction under applicable law.
  • Tip revenue is shared at the standard 85/15 split after payment processing fees.

Virtual Gifts

  • Virtual gifts are animated or illustrative digital items that fans purchase and send to you during live streams or through the platform. They have no monetary value outside the platform.
  • SGSuperFans converts virtual gift purchases into Creator earnings at the conversion rates displayed in your dashboard. These rates may be updated from time to time with prior notice.
  • Virtual gifts accumulated during live streams are credited to your earnings account after post-event reconciliation, typically within 48 hours of the event ending.

No Refund on Tips & Gifts

Tips and virtual gifts are non-refundable once sent, except where a chargeback is initiated by the fan’s payment provider. See Section 16 for chargeback rules.

Monetization

12.Live Events & Tickets

You may host live-streamed events on the platform, including performances, Q&A sessions, masterclasses, fan meet-and-greets, and other live programming, for which fans purchase paid tickets.

Event Listings

  • Each event must include a title, accurate description, scheduled date and time (in a clearly stated time zone), ticket price, and estimated duration.
  • You may set your own ticket price within platform minimums and maximums.
  • Events listed as “exclusive” or “limited access” must genuinely have restricted capacity or access. Misrepresenting event exclusivity is a policy violation.

Creator Delivery Obligations

  • You must attend and deliver the live event substantially as described at the scheduled time. You are responsible for providing the technical infrastructure (device, internet connection, streaming setup) needed to broadcast reliably.
  • If you need to reschedule an event, you must notify ticketed fans via the platform at least 48 hours before the original scheduled time and propose a new date within 30 days. Existing tickets remain valid for the rescheduled date.
  • If you cancel an event entirely, all fans who purchased tickets must receive a full refund. SGSuperFans will process these refunds and deduct the amounts from your earnings account if the earnings have already been credited.

Event Recording & Replay

If you indicate at the time of listing that a replay will be made available to ticketed fans, you must make the recording available within 48 hours of the event concluding and keep it accessible for the period stated. If a replay was not promised, you are not obligated to provide one, but you may choose to offer replay access as an additional benefit.

Repeated failure to deliver sold events as described, or repeated last-minute cancellations, will result in your event hosting privileges being suspended and may result in termination of your Creator account.
Monetization

13.Shoutouts & Personalized Content

The shoutout and personalized content feature allows fans to purchase customized content from you, such as a personalized video message, photo, audio greeting, or written note, as a commissioned digital product.

Order Fulfillment

  • You must fulfill accepted shoutout or custom content orders within the fulfillment window you have set in your profile (maximum 7 days from acceptance). If you have not set a fulfillment window, the default is 5 business days from the fan’s order date.
  • You may decline any incoming shoutout request before accepting it. Once you accept an order, you are contractually obligated to deliver it within the fulfillment window.
  • If you are unable to fulfill an accepted order, you must cancel it through the platform before the deadline. The fan will be automatically refunded. Repeated failures to fulfill accepted orders will result in suspension of your shoutout feature.

Content Requirements

  • Delivered content must address the fan’s request in good faith and in accordance with any guidelines you have posted in your profile regarding acceptable request types.
  • You are not required to fulfill requests that violate any provision of this Agreement, including requests for prohibited content. You may decline such requests without penalty.

Refund on Non-Delivery

If a shoutout order is not fulfilled within the required time window, the fan is automatically entitled to a full refund. SGSuperFans will process the refund and deduct the applicable amount from your earnings account.

Monetization

14.Shop & Merchandise

The Creator Shop feature allows you to list and sell physical merchandise and digital products to your fans directly through the platform.

Physical Merchandise

  • You are solely responsible for manufacturing, storing, packaging, shipping, and delivering physical merchandise to buyers within the fulfillment timeframe stated in your listing. SGSuperFans is not a logistics provider and bears no responsibility for physical product fulfillment.
  • Product descriptions, images, and specifications must accurately represent what will be delivered. Material discrepancies between what was advertised and what is received entitle the buyer to a refund under Section 16.
  • You are responsible for all customs, import duties, shipping insurance, and any applicable sales taxes on physical goods shipped to buyers.
  • You must maintain a reasonable returns and exchanges policy for physical goods and respond to fan inquiries regarding orders within 3 business days.

Digital Products

  • Digital products (such as presets, e-books, sample packs, or similar) must be delivered immediately and automatically upon purchase through the platform download system.
  • If a digital product file is inaccessible or defective, you must issue a replacement or refund within 48 hours of the fan reporting the issue.

Prohibited Products

You may not sell through your Creator Shop any item that is illegal to sell in Canada or in the buyer’s jurisdiction, including but not limited to controlled substances, weapons, counterfeit goods, or items that infringe the intellectual property rights of any third party. SGSuperFans may remove listings at any time without prior notice if it determines they violate this prohibition.

Payments

15.Payout Terms & Banking

SGSuperFans processes Creator payouts on a regular schedule, subject to the conditions described in this Section.

Payout Schedule

Creator earnings are credited to your platform earnings balance as transactions clear. Payouts to your designated bank account or payment method are processed on the schedule set forth in your Creator Dashboard (typically weekly or bi-weekly, depending on your account tier and region). SGSuperFans reserves the right to adjust payout schedules with prior notice.

Minimum Payout Threshold

Payouts are only issued when your available balance equals or exceeds the minimum payout threshold displayed in your dashboard (currently CAD $50.00, subject to change). Balances below the threshold are carried forward to the next payout period.

Payment Processing Timelines

Once a payout is initiated, the time to receive funds in your account depends on your chosen payout method and your bank’s processing times, typically 1-5 business days for bank transfers. SGSuperFans is not responsible for delays caused by your bank or payment provider.

Holds & Reserve

SGSuperFans may place a temporary hold on all or part of your earnings in the following circumstances:

  • We have received a chargeback or dispute on transactions associated with your account.
  • We are investigating a suspected violation of this Agreement or the Terms of Service.
  • You have not completed all required identity verification or tax documentation.
  • We are required to do so by court order, law enforcement directive, or applicable regulatory requirement.

Account Closure & Final Payout

Upon voluntary account closure with no outstanding violations, disputes, or chargebacks, your final earnings balance will be paid out within 30 days of closure, subject to the standard minimum threshold and any applicable deductions. If your account is terminated for cause, SGSuperFans may withhold earnings pending investigation and resolution of any outstanding claims, refund obligations, or chargeback liabilities.

Payments

16.Chargebacks & Refunds

SGSuperFans has a defined refund and chargeback policy that applies to all Creator monetization transactions.

Platform-Mandated Refunds

SGSuperFans will issue a refund to a fan on your behalf in the following circumstances, and will deduct the corresponding amount from your earnings balance:

  • You cancelled a live event and all ticketed fans are entitled to a full refund.
  • You failed to fulfill an accepted shoutout or custom content order within the required time window.
  • A physical merchandise order is demonstrably undelivered, lost, or materially differs from its description and you failed to resolve the issue within the required timeframe.
  • A pre-order item was not delivered within 14 days of its stated delivery date.
  • We determine, following investigation, that content was materially misrepresented at the point of sale.

Chargebacks

A chargeback occurs when a fan’s bank or card issuer reverses a transaction at the fan’s request. When a chargeback is filed on a transaction attributable to your Creator account, the charged-back amount plus any applicable chargeback processing fee charged by our payment processor (typically CAD $15-$25 per occurrence) will be deducted from your earnings balance. Repeated chargebacks indicating a pattern of consumer complaints may result in enhanced monitoring, payout holds, or account suspension. You may provide evidence to dispute a chargeback through the platform’s dispute interface.

No Discretionary Refunds

SGSuperFans does not issue voluntary or discretionary refunds to fans for content they have legitimately accessed and which was delivered as described. You are not entitled to receive refunds yourself for any earned and processed revenue share that has been accurately calculated.

Payments

17.Tax Obligations

As an independent contractor in the creator economy, you bear full responsibility for your tax compliance obligations. This Section provides a general framework but does not constitute tax advice. You should consult a qualified tax professional in your jurisdiction.

Income Tax

All earnings you receive through the platform constitute self-employment income (or business income) and are taxable in your jurisdiction of residence. You are responsible for reporting all such income to your relevant tax authority and for paying all applicable income and self-employment taxes, whether or not SGSuperFans issues any tax documentation to you.

Tax Reporting by SGSuperFans

  • Canada: Where required by the Canada Revenue Agency (“CRA”), SGSuperFans will issue a T4A slip to Canadian-resident Creators whose annual earnings exceed CAD $500. Copies are provided to both you and the CRA.
  • United States: For US-resident Creators, SGSuperFans may issue a Form 1099-K where platform earnings exceed reporting thresholds under applicable IRS rules.
  • Other Jurisdictions: SGSuperFans will comply with applicable local tax reporting obligations for Creators in other jurisdictions where required by law.

GST / HST (Canada)

If your annual taxable supplies derived from platform activities exceed the CRA registration threshold (currently CAD $30,000), you are legally required to register for and collect GST/HST and remit it to the CRA. This obligation is yours, not SGSuperFans’s. SGSuperFans does not collect GST/HST on your behalf.

VAT / Tax Outside Canada

Creators resident outside Canada are responsible for understanding and complying with any VAT, GST, or equivalent consumption tax obligations that apply to their digital service income in their respective jurisdictions. Where applicable laws require SGSuperFans to withhold, collect, or remit taxes on payments made to you, SGSuperFans will do so, and the net amount paid to you will be reduced accordingly.

Compliance

18.Age Verification & Adult Content

SGSuperFans is an adult-only platform. Age verification and adult content compliance are among the most critical obligations under this Agreement.

18+ Platform Requirement

You must be 18 years of age or older to be a Creator on the platform. You must never produce, discuss, arrange, or facilitate content involving any person under the age of 18. This applies regardless of whether the content is sexual, violent, or otherwise.

Performer Age Verification

Before publishing any content in which another individual appears in a sexual or intimate context, including any content that is labeled as adult-only or restricted, you must:

  • Verify that all such individuals are 18 years of age or older at the time of creation.
  • Obtain, before the content is created, a signed written consent form from each such individual confirming their age, identity, and consent to participate in and distribute the content.
  • Retain copies of all age verification documentation (government-issued ID copies, signed consent forms, and any supporting documentation) for a minimum period of 5 years from the date of the last distribution of the content.
  • Produce these records to SGSuperFans within 5 business days of any request, and to any relevant authority within any time period required by applicable law.

Record-Keeping Compliance

These record-keeping requirements are analogous to those found in 18 U.S.C. Section 2257 in the United States and equivalent statutes in other jurisdictions. Even where you are not located in a jurisdiction with a formal 2257-equivalent statute, SGSuperFans requires these records as a contractual obligation in order to protect all parties.

Consequences of Non-Compliance

Failure to maintain or produce required age verification records will result in immediate removal of the relevant content, suspension of your account pending investigation, and may result in permanent termination without payment of accrued earnings. SGSuperFans will cooperate fully with any law enforcement investigation related to underage content.

Any confirmed instance of publishing content featuring a minor in a sexual context will result in immediate permanent account termination, full referral to law enforcement in all applicable jurisdictions, and preservation of all relevant evidence for investigative purposes.
Compliance

19.Fan Interactions & Conduct

As a Creator, you are the primary point of contact for your fan community. The quality and integrity of fan interactions are central to the platform’s value and to your long-term success.

Professional Conduct

  • You must treat all fans with basic dignity and respect, even in the context of adult or mature content interactions. You may not bully, demean, or harass fans through platform communications.
  • You may block fans who make you feel unsafe or who violate the platform rules. Blocking a subscriber does not entitle that subscriber to a refund for the current billing period unless you have also removed their access to subscribed content.
  • You must not solicit fans to move communications off-platform in a manner designed to circumvent platform fees or to facilitate transactions that would otherwise be subject to this Agreement.

No Financial Advice or Guarantees

  • You may not represent yourself as a licensed financial adviser, lawyer, doctor, therapist, or other regulated professional unless you hold the applicable license and are permitted to provide such advice in the relevant jurisdiction.
  • You may not make guarantees of financial returns, health outcomes, or other specific results in exchange for fan purchases or subscriptions.

Fan Data

Any personal information about fans that you access through the platform may only be used for the purpose of fulfilling the fan relationship on the platform. You may not use fan data to contact fans outside the platform without their express consent, to sell or share with third parties, or for any purpose inconsistent with the SGSuperFans Privacy Policy. You are a data controller in respect of any fan personal data you independently process, and you must comply with all applicable privacy laws in that capacity.

Compliance

20.Intellectual Property & DMCA

SGSuperFans respects intellectual property rights and expects all Creators to do the same.

Your Responsibility

You represent and warrant that all content you publish on the platform is either: (a) original content you have created; (b) in the public domain; or (c) subject to a valid license that permits you to reproduce and distribute it in the manner you are doing. You are solely responsible for any copyright infringement, trademark infringement, or other intellectual property violation arising from content you publish.

DMCA Takedown Process

SGSuperFans participates in the Digital Millennium Copyright Act (“DMCA”) notice and takedown regime for content hosted on the platform. If a rights holder submits a valid DMCA takedown notice alleging that your content infringes their copyright, SGSuperFans will remove that content promptly and notify you. You may submit a DMCA counter-notice if you believe the takedown was made in error or if the use is covered by a valid defense such as fair use.

  • First DMCA strike: written warning and mandatory removal.
  • Second DMCA strike within 12 months: temporary suspension of content publishing rights.
  • Third DMCA strike or any instance involving willful infringement: permanent account termination and forfeiture of accrued earnings.

Music & Background Audio

You may not use commercially released music as background audio in your content without obtaining a valid synchronization or master use license. Using copyrighted music without a license exposes your content to DMCA takedown claims regardless of the context or brevity of the use. SGSuperFans offers access to a library of licensed background music within the Creator Studio for this purpose.

Platform Trademarks

You may reference your participation on SGSuperFans in your external marketing and social media profiles using approved brand references (“Find me on SGSuperFans,” “SGSuperFans Creator”). You may not use the SGSuperFans name, logo, or trademarks in a manner that implies endorsement, partnership, or official affiliation beyond your status as a Creator on the platform.

21.Representations & Warranties

By entering into this Agreement and by continuing to participate as a Creator, you represent and warrant to SGSuperFans at all times that:

  • You are at least 18 years of age and have the full legal capacity to enter into and be bound by this Agreement.
  • You have the right, power, and authority to grant all licenses set out in this Agreement and that doing so does not breach any other agreement by which you are bound.
  • All information you have provided during registration, verification, and onboarding is true, accurate, current, and complete, and you will keep it updated.
  • Your Creator Content does not and will not infringe the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party.
  • All individuals depicted in your Creator Content where consent is required have provided documented prior written consent as required by Section 6 and Section 18 of this Agreement.
  • All individuals depicted in sexual or intimate content published by you were 18 years of age or older at the time of creation, and you hold and will produce the required verification records upon request.
  • Your content, activities, and conduct on the platform comply with all applicable laws, regulations, and third-party rights in your jurisdiction of residence and in all jurisdictions where your content is accessible.
  • You are not a prohibited person under any applicable sanctions regime and are not acting on behalf of any sanctioned entity or individual.
  • You have not and will not engage in any action designed to artificially inflate your metrics, manipulate the platform’s recommendation systems, or deceive fans or SGSuperFans in any material way.

22.Indemnification

You agree to defend, indemnify, and hold harmless SGSuperFans, its affiliates, officers, directors, employees, agents, licensors, and service providers (collectively, “Indemnified Parties”) from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees on a full indemnity basis) arising out of or in connection with:

  • Any content you have published, transmitted, or made available through the platform.
  • Any breach of this Agreement, the Terms of Service, or any applicable platform policy by you.
  • Any breach of any representation or warranty made by you in this Agreement.
  • Any third-party intellectual property infringement claims arising from your content or your use of the platform.
  • Any claim by a fan, subscriber, or third party arising from your failure to deliver content, services, or benefits you promised or sold.
  • Any violation by you of any applicable law, regulation, or court order.
  • Any claims arising from your processing of, or failure to properly handle, fan personal data.
  • Any employment, labor, or contractor reclassification claim brought by or on behalf of any person engaged by you to assist in your content creation activities.

SGSuperFans will notify you promptly of any claim for which indemnification is sought. You will have the right to assume control of the defense of any such claim with counsel reasonably acceptable to SGSuperFans, provided that SGSuperFans may participate in the defense at its own expense. You may not settle any claim in a manner that imposes any obligation, liability, or restriction on any Indemnified Party without SGSuperFans’s prior written consent.

23.Disclaimers

THE SGSUPERFANS PLATFORM AND ALL FEATURES, TOOLS, AND SERVICES AVAILABLE TO CREATORS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SGSUPERFANS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Any warranty that the platform will be uninterrupted, error-free, virus-free, or secure.
  • Any warranty regarding the accuracy, reliability, completeness, or timeliness of any content, data, or information on the platform.
  • Any warranty regarding the volume of fan activity, subscriber numbers, earnings potential, or any specific financial outcome from your participation as a Creator.
  • Any warranty regarding the continued availability of any particular feature, tool, or monetization channel on the platform.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above disclaimers apply only to the maximum extent permitted by applicable law.

24.Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SGSUPERFANS OR ANY INDEMNIFIED PARTY BE LIABLE TO YOU FOR ANY:

  • Indirect, incidental, special, consequential, punitive, or exemplary damages.
  • Loss of profits, revenue, earnings, subscribers, or business opportunities.
  • Loss of goodwill or reputation.
  • Loss of data or content.
  • Cost of procuring substitute services.
  • Any damages arising from unauthorized access to or alteration of your content or transmissions.

THESE EXCLUSIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF AN INDEMNIFIED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS WHERE EXCLUSION OF CONSEQUENTIAL DAMAGES IS NOT PERMITTED, THE AGGREGATE LIABILITY OF SGSUPERFANS TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM, REGARDLESS OF THE FORM OF ACTION, WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL PLATFORM FEES RETAINED BY SGSUPERFANS FROM YOUR TRANSACTIONS IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (B) CAD $500.

This limitation of liability means that if the platform experiences a technical failure that causes you to lose earnings or content, the maximum amount you can recover from SGSuperFans is capped as described above. Please maintain your own backups of all content you publish.
Legal

25.Dispute Resolution

SGSuperFans and Creators are committed to resolving any disputes efficiently and fairly, with a strong preference for direct resolution before formal proceedings.

Informal Resolution: Required First Step

Before initiating any formal arbitration or legal proceeding, you must first contact SGSuperFans in writing at legal@sgsuperfans.com describing the nature of your dispute and the outcome you are seeking. SGSuperFans will respond within 15 business days. Both parties agree to engage in good-faith negotiations for at least 30 days before escalating to arbitration.

Binding Arbitration

If the dispute is not resolved through informal negotiation within the 30-day period, either party may submit the dispute to binding arbitration administered by the ADR Institute of Canada under its National Arbitration Rules, as amended periodically. The arbitration will be conducted:

  • In the City of Toronto, Ontario, Canada (or by video conference if agreed by both parties).
  • In the English language.
  • Before a single arbitrator with relevant legal experience.
  • On a confidential basis: neither party may disclose the existence, content, or outcome of the arbitration without the prior written consent of the other party, except where required by law.

Arbitral Award

The arbitrator’s award is final and binding on both parties and may be enforced as a judgment in any court of competent jurisdiction. Each party bears its own legal fees and costs unless the arbitrator determines that a party acted in bad faith, in which case the arbitrator may award costs against that party.

No Class Actions

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SGSUPERFANS EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.

Exceptions

Either party may seek emergency injunctive relief from a court of competent jurisdiction to preserve the status quo pending arbitration, without waiving its right to arbitrate the underlying claim.

Legal

26.Governing Law

This Agreement is governed by and shall be construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of laws principles.

For any matter not subject to binding arbitration under Section 25, or for enforcement of an arbitral award, you irrevocably submit to the exclusive jurisdiction of the courts of competent jurisdiction located in Toronto, Ontario, Canada, and waive all objections to the exercise of jurisdiction over you by those courts on the basis of inconvenient forum or otherwise.

If you are resident in a jurisdiction that provides mandatory local consumer protection rights that cannot be contractually excluded, nothing in this Agreement limits those rights. The choice of Ontario law governs to the extent that it does not conflict with such mandatory local protections.
Account

27.Suspension & Termination

Termination by You

You may close your Creator account at any time by submitting a written closure request through your dashboard settings or to creators@sgsuperfans.com. Upon voluntary closure, your content will be removed from public access, and any accrued earnings above the minimum payout threshold will be paid out within 30 days, subject to any outstanding deductions or holds.

Suspension by SGSuperFans

SGSuperFans may temporarily suspend your Creator account, content publishing rights, or payout access, with or without prior notice, where:

  • We have received a credible complaint or report requiring investigation.
  • We detect unusual account activity that suggests fraud, unauthorized access, or a policy violation.
  • You have an unusually high chargeback rate or unresolved chargeback disputes.
  • You have failed to complete or maintain required verification or tax documentation.
  • We are required to do so by applicable law, court order, or regulatory authority.

During a suspension, SGSuperFans will notify you of the reason (where permitted by law) and provide a reasonable opportunity to respond and remediate the issue within a specified timeframe.

Termination for Cause by SGSuperFans

SGSuperFans may permanently terminate your Creator account immediately and without prior notice upon any of the following:

  • Publication of or facilitation in prohibited content, particularly any content involving minors, CSAM, non-consensual intimate imagery, or content facilitating trafficking.
  • Three or more DMCA strikes within any 12-month period involving confirmed infringement.
  • Identity fraud, age misrepresentation, or material false statements in the application or verification process.
  • Systematic violation of fan trust through serial misrepresentation or non-delivery of paid content.
  • Criminal conviction for any offense related to child exploitation, sexual assault, human trafficking, fraud, or financial crime.
  • Any court order, regulatory directive, or law enforcement instruction requiring platform access termination.

Effect of Termination for Cause

Upon termination for cause, your content will be removed, all pending payouts will be held, fans holding active subscriptions will be refunded their current period fees, and SGSuperFans may retain accrued earnings to cover refund obligations, chargeback liabilities, and platform costs arising from the violation. Any remaining balance after satisfaction of these obligations will be paid out within 90 days unless an ongoing legal investigation requires continued hold.

Account

28.Modifications to Agreement

SGSuperFans reserves the right to modify this Agreement at any time. When we make material changes, we will provide notice through one or more of the following means:

  • A notification sent to the email address associated with your Creator account.
  • A prominent notice displayed in your Creator Dashboard upon your next login.
  • A notice posted on the platform’s legal document portal.

Where changes are material, we will provide at least 14 days’ advance notice before the changes take effect. Changes affecting payment terms or fee structures will be provided with at least 30 days’ advance notice.

Your continued participation as a Creator on the platform after the effective date of any modification constitutes your binding acceptance of the modified Agreement. If you do not agree with any modification, you must cease Creator activity and close your account before the effective date of the modification. Pending payouts will be processed normally for activity completed before the effective date.

General

29.General Provisions

Entire Agreement

This Agreement, together with the SGSuperFans Terms of Service, Privacy Policy, and any additional policies or addenda incorporated by reference, constitutes the entire agreement between you and SGSuperFans with respect to your participation as a Creator, and supersedes all prior oral or written negotiations, representations, or agreements relating to the same subject matter.

Severability

If any provision of this Agreement is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed from the Agreement if modification is not possible, and the remaining provisions will continue in full force and effect.

No Waiver

SGSuperFans’s failure to enforce any provision of this Agreement on any occasion does not constitute a waiver of that provision or of any other provision. Waivers must be in writing and signed by an authorized representative of SGSuperFans to be effective.

Assignment

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under this Agreement without SGSuperFans’s prior written consent. SGSuperFans may freely assign this Agreement or any rights under it, including in connection with a merger, acquisition, asset sale, or corporate reorganization, without your consent. This Agreement is binding on and inures to the benefit of the parties and their permitted successors and assigns.

Force Majeure

Neither party will be liable for any failure or delay in performance resulting from circumstances beyond their reasonable control, including natural disasters, pandemics, acts of government, internet or telecommunications infrastructure failures, power outages, or other force majeure events. The affected party must notify the other promptly and make reasonable efforts to resume performance as quickly as possible.

Language

This Agreement has been prepared and executed in the English language. If this Agreement is translated into any other language for convenience, the English language version governs in the event of any conflict or ambiguity.

Electronic Execution

You agree that your electronic acceptance of this Agreement (including by clicking “I Agree,” completing registration, or activating your Creator account) has the same legal effect as a physically signed written agreement and satisfies any requirement for a writing under applicable law.
