1.Agreement & Acceptance
These Terms of Service (“Terms”) constitute a legally binding contract between you (“User,” “Creator,” or “Fan”) and SGSuperFans Inc. (“SGSuperFans,” “Company,” “we,” “us,” or “our”), a corporation duly registered in Ontario, Canada, governing your use of the SGSuperFans website, mobile application, and all related services (collectively, the “Platform”).
Your agreement is formed and becomes binding at the earliest of: (a) clicking “I Agree” or similar button; (b) completing account registration; (c) accessing the Platform; or (d) making or receiving any payment through the Platform. Each use of the Platform reaffirms your acceptance of the then-current Terms.
These Terms apply to all users of the Platform, including visitors who browse without registering, registered users who have not yet transacted, Fans who purchase content, and Creators who publish and monetize content.
Translations & Interpretations
The English language version of these Terms is authoritative and controls in the event of any conflict with any translated version. Headings are for convenience only and do not affect interpretation. Where context requires, the singular includes the plural and vice versa.
2.Eligibility
The Platform is intended exclusively for adults. To use SGSuperFans you must, at all times:
- Be at least 18 years of age. No exceptions. We have zero tolerance for underage use.
- Have the legal capacity to enter into binding contracts in your jurisdiction of residence.
- Not be a person barred from receiving services under the laws of Canada, the United States, or any applicable jurisdiction.
- Not be subject to sanctions, export controls, or restrictions administered by the Office of Foreign Assets Control (OFAC), Global Affairs Canada, the United Nations Security Council, or any equivalent authority.
- Not have been previously suspended or permanently banned from the Platform.
- Not be acting on behalf of any individual who does not meet the above requirements.
Geographic Restrictions
The Platform may not be available in all countries or regions. We reserve the right to restrict or deny access to the Platform from any jurisdiction at our sole discretion. Users are responsible for ensuring their use of the Platform complies with all local laws. We make no representation that the Platform is appropriate or legal for use in every location.
3.Account Registration & Security
To access most features of the Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration and keep it updated at all times.
- Maintain the confidentiality of your password and account credentials. You are solely responsible for all activities that occur under your account, whether or not authorized.
- Not create more than one personal account without our express written permission. Creators may have one creator account in addition to a fan account.
- Not impersonate any person or entity, misrepresent your identity or affiliation, or create an account using another person’s name or information.
- Immediately notify us at security@sgsuperfans.com upon discovering any unauthorized access to your account.
Account Verification
We reserve the right to require identity verification, age verification, photo ID, or other documentation at any time, at our sole discretion. Failure to complete verification when requested may result in restricted access, account suspension, or termination of your account and forfeiture of any pending balance.
Business Accounts
If you register on behalf of a business entity, you represent that you have full authority to bind that entity to these Terms. The business entity and the individual registering are jointly and severally liable for all obligations under these Terms.
4.Permitted Use
Subject to your compliance with these Terms, SGSuperFans grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purposes, including:
- Browsing public creator profiles and Platform content.
- Subscribing to creators and accessing subscription content.
- Purchasing Pay-Per-View (PPV) content, event tickets, shoutouts, and direct message conversations.
- Sending voluntary tips and gifts to creators.
- Publishing, monetizing, and managing content as a registered Creator.
- Communicating with other users within the Platform’s provided messaging tools.
Licence Restrictions
This licence does not permit you to:
- Reproduce, distribute, transmit, or publicly display Platform content (other than your own) without the rights holder’s express written consent.
- Use the Platform for commercial purposes other than those explicitly enabled by SGSuperFans for registered Creators.
- Access or use the Platform by automated means (bots, scrapers, crawlers) without our express written authorization.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to extract know-how or source code from any Platform software.
- Create derivative works based on Platform software or content without explicit written consent.
5.Prohibited Content & Activities
The following content and activities are strictly prohibited on the Platform. Violation of any prohibition may result in immediate account termination, forfeiture of funds, and referral to law enforcement:
Illegal Content
- Child Sexual Abuse Material (CSAM) or any depiction of sexual activity involving minors. This is a criminal offence. SGSuperFans reports all suspected CSAM to the National Center for Missing and Exploited Children (NCMEC), the Canadian Centre for Child Protection (C3P), and law enforcement.
- Non-consensual intimate imagery (“revenge porn”) or any content posted without the depicted person’s explicit, informed, and contemporaneous consent.
- Content that constitutes child exploitation, grooming, or human trafficking, or that facilitates any such activity.
- Content that facilitates or promotes terrorism, mass violence, genocide, or is affiliated with designated terrorist organizations.
- Content that constitutes defamation, libel, or slander under applicable law.
Harmful & Abusive Conduct
- Harassment, threats, intimidation, cyberbullying, or stalking of any user, creator, or SGSuperFans employee.
- Doxxing: publishing another person’s private or personally identifiable information without their explicit consent.
- Incitement to violence, hate speech, or content that promotes discrimination based on race, ethnicity, national origin, religion, sex, gender, sexual orientation, disability, or any other protected characteristic.
- Impersonation of any individual, including other creators, celebrities, or SGSuperFans personnel.
Platform Integrity
- Artificially inflating follower counts, subscriber numbers, engagement metrics, or tip amounts through bots, purchased engagement, or coordinated inauthentic behavior.
- Attempting to manipulate, interfere with, disrupt, or circumvent any Platform security measure, access control, payment system, or content protection mechanism.
- Uploading or transmitting malware, viruses, ransomware, spyware, trojans, or any other malicious code.
- Conducting phishing, credential stuffing, DDoS attacks, or any other cyberattack against the Platform or its users.
- Engaging in money laundering, financial fraud, chargeback fraud, or any other financial crime through the Platform.
6.User Conduct
You are solely responsible for your conduct on the Platform and all content you share, publish, or transmit. You agree to:
- Interact with other users in a respectful and lawful manner.
- Not engage in unauthorized solicitation, advertising, or spam within messaging, comments, or public-facing areas of the Platform.
- Not attempt to redirect other users or creators to competitor platforms or external payment channels in order to circumvent SGSuperFans’ fee structure.
- Not attempt to obtain access to other users’ accounts, payment information, or private content through deceit, social engineering, or technical means.
- Comply with all applicable federal, provincial/state, and local laws and regulations in your use of the Platform.
- Not use the Platform in a manner that could adversely affect the reputation, goodwill, or business interests of SGSuperFans or other users.
Reporting Obligations
If you encounter content or behavior that violates these Terms or applicable law, you are encouraged to report it immediately using the Platform’s built-in reporting tools or by emailing trust@sgsuperfans.com. False or malicious reports made in bad faith may result in account action.
7.Creator Program
The Creator Program allows eligible users to publish content, build fan communities, and earn income through multiple monetization features. Participation in the Creator Program is a privilege, not a right, and is subject to ongoing compliance with these Terms and any applicable Creator Guidelines we may publish from time to time.
Creator Eligibility & Verification
- Creators must be 18 years of age or older and must successfully complete our identity and age verification process before publishing monetized content.
- Creators must provide a valid government-issued photo ID, accept our Creator Agreement, and complete payment account setup (bank account, payout method) before receiving any earnings.
- SGSuperFans reserves the right to conduct background checks, credential verifications, and content audits at any time, and may require additional documentation at its sole discretion.
- Creators offering professional services (coaching, consulting, fitness, financial advice) are solely responsible for obtaining and maintaining any required professional licences, certifications, or insurance.
Creator Independent Contractor Status
Creators are independent contractors, not employees, agents, partners, or joint venturers of SGSuperFans. The Company has no control over the content Creators produce, the prices they set, the hours they work, or how they interact with their fans. Nothing in these Terms shall be construed to create an employment relationship. Creators are solely responsible for their own labour-related taxes, benefits, insurance, and regulatory compliance.
Creator Obligations
- Deliver all paid content, services, and experiences that fans have purchased on time and as described.
- Respond to direct messages for which a fan has paid within the timeframe specified or, if none is specified, within a commercially reasonable time.
- Maintain the accuracy of all subscription descriptions, pricing, and content offerings.
- Not engage in deceptive marketing practices, false advertising, or misleading representations regarding the nature or value of their content.
8.Content Standards
All content published on the Platform must comply with the following standards at all times. SGSuperFans reserves the right, but not the obligation, to review, remove, or restrict any content that it determines, in its sole discretion, violates these standards.
Required Standards
- Accuracy: Content must not contain materially false, misleading, or deceptive statements about products, services, or the Creator’s identity.
- Consent: All individuals depicted in content must have provided explicit, documented, and verifiable consent prior to the content being created and published.
- Legality: Content must comply with all applicable Canadian, US, and international laws, including but not limited to obscenity laws, consumer protection regulations, and financial promotion rules.
- Intellectual Property: Content must not infringe upon any person’s copyright, trademark, patent, trade secret, or other proprietary rights.
- Privacy: Content must not contain another person’s private or personally identifiable information without their consent.
Content Moderation
SGSuperFans employs both automated and human review processes for content moderation. Reported content will be reviewed within 24-72 hours (critical safety reports within 2 hours). Decisions to remove content are final within the Platform but may be appealed once by email to appeals@sgsuperfans.com within 14 days of the decision.
9.Intellectual Property & Content Licence
You retain all ownership rights to original content you create and publish on the Platform. SGSuperFans does not claim ownership of your content.
Licence You Grant to SGSuperFans
By publishing content on the Platform, you grant SGSuperFans a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, store, transmit, distribute, adapt, publicly display, and publicly perform your content solely for the following purposes:
- Operating, maintaining, and providing the Platform and its features.
- Processing, storing, caching, and delivering your content to authorized subscribers, purchasers, and users.
- Creating thumbnails, previews, or technical adaptations required to display your content across different devices and formats.
- Enforcing these Terms and complying with legal obligations.
- Using your name, profile image, and content for Platform marketing and promotional materials, subject to your opt-out rights described in the Privacy Policy.
Licence You Grant to Fans
By making content available for purchase or subscription, you grant each authorized Fan a limited, personal, non-exclusive, non-transferable, non-sublicensable licence to access and view your content for personal, non-commercial use only, subject to these Terms.
Representations & Warranties
You represent and warrant that:
- You own or have all necessary licences, rights, consents, releases, and permissions for all content you publish.
- Your content does not infringe any third party’s intellectual property rights, privacy rights, publicity rights, or any other rights.
- You have obtained all necessary model releases, location releases, music licences, and other clearances required for your content.
Platform Intellectual Property
The SGSuperFans name, logo, trademarks, trade dress, software, design, algorithms, features, and all other Platform materials are the exclusive intellectual property of SGSuperFans Inc. and are protected by Canadian and international intellectual property laws. No right or licence to use these materials is granted by these Terms except as necessary to use the Platform as intended.
Feedback
Any feedback, suggestions, ideas, or improvements you voluntarily submit to us regarding the Platform become the exclusive property of SGSuperFans and may be used by us freely, without restriction, obligation, attribution, or compensation.
10.Platform Fees & Revenue Share
SGSuperFans operates on a transparent, flat-fee revenue sharing model. The following fee structure applies to all Creator earnings generated through the Platform:

Fee Changes
SGSuperFans reserves the right to modify its fee structure. Any fee changes will be communicated to Creators at least 30 days in advance via email and in-platform notification. Continued use of the Platform after the effective date of the fee change constitutes acceptance of the new fee structure.
Taxes on Platform Fees
Platform fees are subject to applicable taxes, including GST/HST. SGSuperFans will collect and remit applicable taxes on its service fees as required by law. Creators are responsible for their own tax obligations on their share of earnings.
11.Subscriptions
For Fans
- When you subscribe to a Creator, you authorize SGSuperFans (or our payment processor) to charge your payment method the disclosed subscription price on a recurring monthly basis until you cancel.
- Subscriptions automatically renew at the start of each billing cycle. You are responsible for managing and cancelling your subscriptions. You can cancel at any time through your account settings.
- No refunds are issued for partial subscription periods. If you cancel mid-period, your access continues until the end of the current billing cycle, after which no further charges will be made.
- If a Creator changes their subscription price, you will be notified at least 7 days before the new price takes effect. Continued subscription after the notice period constitutes acceptance of the new price.
- If a Creator deletes their account or leaves the Platform, we will cancel your active subscription and issue a prorated refund for any unused subscription days.
For Creators
- Creators set their own subscription price, with a minimum set by the Platform (as displayed in your Creator dashboard).
- Price changes take effect for new subscribers immediately and for existing subscribers after the 7-day notice period described above.
- SGSuperFans is not liable for failed subscription renewals due to payment processing issues beyond our reasonable control.
12.Tips & Virtual Gifts
Tips and virtual gifts are voluntary, discretionary payments made by Fans to Creators as expressions of appreciation. They are not payments for goods or services, and the Creator is under no legal obligation to provide anything in return.
- All tips and virtual gifts are final and non-refundable once processed, except in documented cases of unauthorized or fraudulent transactions.
- Tips are processed through our payment processor. The transaction will appear on your payment statement.
- SGSuperFans deducts the standard 15% platform fee from all tips and remits the remainder to the Creator.
- Creators may not solicit tips in exchange for guaranteed services, sexual acts, or any specific content. Doing so may recharacterize the tip as a purchase, which has different legal and tax implications.
- SGSuperFans reserves the right to set minimum and maximum tip amounts and to temporarily suspend tipping functionality in response to fraud patterns.
13.Pay-Per-View Content
Pay-Per-View (PPV) content refers to individual pieces of content that Fans must purchase to access, separate from any subscription. This includes posts, messages, galleries, clips, and other content unlocked for a one-time fee set by the Creator.
- PPV purchases grant the Fan a limited, personal, and non-transferable licence to view the content once purchased. The Fan does not acquire ownership of the content.
- All PPV purchases are final and non-refundable once access is granted, except in cases where the content was materially different from its description, or due to documented technical failure by the Platform.
- Creators must accurately describe PPV content before a Fan purchases. Misleading descriptions are a violation of these Terms and may result in refunds at the Creator’s expense and account action.
- Screen capture, recording, reproduction, or redistribution of PPV content is strictly prohibited and constitutes copyright infringement.
14.Events & Ticket Sales
Creators may offer virtual or in-person events through the Platform, including live streams, workshops, Q&As, masterclasses, meetups, and concerts, among others.
Ticket Purchases
- Ticket purchases are final. Refunds are issued at the Creator’s discretion, except in the following mandatory circumstances: (a) the event is cancelled entirely by the Creator; (b) the Creator fails to deliver the event as advertised through no fault of technical limitations; or (c) required by mandatory consumer protection laws.
- If an event is cancelled, Fans will receive a full refund to their original payment method within 5-10 business days.
- If a live virtual event suffers a technical disruption that prevents the majority of purchasers from attending, SGSuperFans may, at its discretion, issue partial or full refunds.
Creator Event Obligations
- Creators are solely responsible for delivering all sold events as described, including content, timing, quality, and duration.
- Creators hosting in-person events are solely responsible for venue safety, permits, local regulations, and insurance.
- SGSuperFans is a ticketing platform only and bears no liability for the content, safety, or outcome of events.
15.Payouts & Withdrawals
SGSuperFans disburses Creator earnings on a rolling basis, subject to the following terms:
Payout Schedule
- Earnings are available for withdrawal on a 7-day rolling cycle (founding creators may have expedited payout terms as set out in their founding member agreement).
- A minimum withdrawal threshold applies (amount displayed in your Creator dashboard). Withdrawals below the minimum will accumulate until the threshold is met.
- You must have a verified, linked payout account (bank account or supported digital payment method) to receive payouts. SGSuperFans is not responsible for delays caused by incorrect or unverified payout information.
Payout Holds & Reserves
- SGSuperFans may place a hold on earnings that are subject to disputes, chargebacks, suspected fraud, regulatory inquiries, or compliance reviews.
- We reserve the right to maintain a rolling reserve of up to 10% of monthly earnings for high-chargeback accounts as a fraud mitigation measure. The reserve may be released after 90 days of clean transaction history.
- We may withhold payouts if your account is under investigation, if you have an outstanding debt to SGSuperFans, or if required to do so by law or government order.
Chargebacks
If a Fan initiates a chargeback on a transaction, the corresponding amount, plus a chargeback administration fee of $15 CAD, will be deducted from the Creator’s balance. Creators with excessive chargeback rates may face payout restrictions, additional reserve requirements, or account termination.
16.Tax & Regulatory Compliance
Creators are solely responsible for all tax obligations arising from their earnings on the Platform. SGSuperFans does not provide tax advice, and nothing in these Terms should be construed as such.
Canadian Creators
- All earnings are taxable income and must be reported to the Canada Revenue Agency (CRA) on your annual tax return.
- SGSuperFans will issue a T4A slip (or equivalent information return) to Creators who earn CAD $500 or more in a calendar year.
- If your annual Platform earnings exceed CAD $30,000, you are required to register for GST/HST with the CRA. This is your obligation, not the Platform’s.
- Applicable provincial taxes may also apply.
U.S. Creators
- U.S.-based Creators must complete an IRS Form W-9 before receiving payments. Failure to provide a W-9 will result in mandatory backup withholding at the applicable rate.
- SGSuperFans will issue an IRS Form 1099-K to Creators meeting applicable U.S. reporting thresholds.
International Creators
- International Creators may be required to complete appropriate tax forms (e.g., IRS W-8BEN for withholding purposes) and are solely responsible for compliance with tax laws in their jurisdiction.
- SGSuperFans may withhold applicable taxes from international payments as required by law.
17.Age Verification & Adult Content
SGSuperFans operates in strict compliance with all laws governing adult content, including Canadian obscenity laws, the U.S. Protect Act, and equivalent international statutes. The following rules are absolute and non-negotiable:
Age Verification: Mandatory
- Any Creator who publishes sexually explicit or adult-oriented content (“Adult Content”) must complete enhanced identity and age verification before such content is enabled.
- Any individual depicted in Adult Content must be verified as 18 years of age or older at the time the content was created. The Creator is solely responsible for this verification.
- Creators must maintain records confirming the age and identity of every person depicted in Adult Content, along with the content creation date, for a minimum of 5 years. These records must be produced within 5 business days of any lawful request from SGSuperFans or competent authority.
Adult Content Standards
- Creators must display proper content warnings before any Adult Content.
- Adult Content may not depict or simulate minors, regardless of the stated age of the performers.
- All participants in Adult Content must have given explicit, contemporaneous, and documented consent to the filming, production, and distribution of that content.
- Adult Content may not be used in thumbnails, previews, or publicly displayed profile images.
18.DMCA & Copyright Enforcement
SGSuperFans respects intellectual property rights and operates in compliance with the Digital Millennium Copyright Act (DMCA) and the Canadian Copyright Act. We respond to properly submitted copyright infringement notices in accordance with applicable law.
DMCA Takedown Notice
To submit a copyright infringement notice, provide the following to our designated agent:
- Your physical or electronic signature (as copyright owner or authorized agent).
- Identification of the copyrighted work(s) claimed to be infringed.
- Identification of the infringing material on our Platform and its URL.
- Your name, mailing address, phone number, and email address.
- A statement that you have a good-faith belief the disputed use is not authorized by the copyright owner, its agent, or law.
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.

Counter-Notice
If your content was removed and you believe it was removed in error, you may submit a counter-notice to the above address. Valid counter-notices must include: (a) your signature; (b) identification of the removed material; (c) a statement under penalty of perjury that the material was removed by mistake or misidentification; and (d) your consent to jurisdiction. Content may be restored within 10-14 business days after a valid counter-notice, unless the complaining party initiates legal proceedings.
19.Privacy & Data Protection
Your privacy is important to us. Our comprehensive Privacy Policy governs the collection, use, storage, and disclosure of your personal information, and is incorporated into these Terms by reference.
Applicable Privacy Laws
SGSuperFans complies with the following privacy frameworks:
- PIPEDA (Personal Information Protection and Electronic Documents Act), applicable to all Canadian users.
- GDPR (General Data Protection Regulation), applicable to users in the European Economic Area and United Kingdom.
- CCPA / CPRA (California Consumer Privacy Act), applicable to California residents.
- Quebec Law 25 (An Act to Modernize Legislative Provisions respecting the Protection of Personal Information), applicable to Quebec residents.
Your Privacy Rights
Depending on your jurisdiction, you may have the right to access, correct, delete, port, or object to the processing of your personal data. To exercise any of these rights, contact us at privacy@sgsuperfans.com. We will respond within 30 days (or such shorter period as required by applicable law).
Payment Information
All payment card information is processed directly by our PCI-DSS compliant payment processor. SGSuperFans does not store, log, or have access to full card numbers, CVV codes, or banking credentials. You are responsible for reviewing the privacy policy of our payment processor.
20.User Safety & Reporting
SGSuperFans is committed to maintaining a safe environment for all users. To report a safety concern:
- In-Platform: Use the “Report” button on any post, comment, profile, or message.
- Email: trust@sgsuperfans.com, monitored 24/7 for critical safety reports.
- CSAM: Report child sexual abuse material directly to CyberTip.ca (Canada) or NCMEC CyberTipline (U.S.).
Platform Response
We review critical safety reports (involving imminent harm, CSAM, or trafficking) within 2 hours. Standard violation reports are reviewed within 24-72 hours. We may take immediate temporary or permanent action, including content removal and account suspension, during an active investigation.
Non-Retaliation
Users who make good-faith safety reports are protected from retaliation. Any Creator found to have penalized, harassed, or threatened a Fan for reporting will be immediately suspended pending investigation.
21.Disclaimers
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SGSUPERFANS DISCLAIMS ALL WARRANTIES, INCLUDING:
- Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
- Any warranty that the Platform will be uninterrupted, error-free, secure, or virus-free.
- Any warranty regarding the accuracy, completeness, legality, reliability, or quality of any content on the Platform, whether generated by Creators, Fans, or third parties.
- Any warranty that the Platform will meet your requirements or expectations.
- Any warranty related to the earning potential of any Creator.
SGSuperFans does not endorse, recommend, or verify any Creator, their content, qualifications, expertise, or the services they offer. Your interactions with Creators are entirely at your own risk.
22.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SGSUPERFANS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, punitive, or exemplary damages.
- Loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings.
- Damages arising from unauthorized access to or alteration of your account or content.
- Damages caused by the conduct of any Creator, Fan, or third party on the Platform.
- Service interruptions, bugs, errors, or any failure or delay in Platform performance.
Liability Cap
In any event, our aggregate liability to you for all claims arising from or related to your use of the Platform shall not exceed the greater of: (a) the total fees paid by you to SGSuperFans in the 12 months immediately preceding the claim; or (b) CAD $100.
23.Indemnification
You agree to indemnify, defend, and hold harmless SGSuperFans Inc. and its affiliates, directors, officers, employees, contractors, agents, licensors, successors, and assigns (collectively, “Indemnified Parties”) from and against any and all claims, suits, proceedings, losses, liabilities, damages, judgments, settlements, and expenses (including reasonable legal fees and court costs) arising from or relating to:
- Your breach of any provision of these Terms or any document, policy, or guideline incorporated herein by reference.
- Your violation of any applicable law, regulation, order, or third-party right (including intellectual property, privacy, publicity, or consumer protection rights).
- Any content you submit, post, publish, transmit, or distribute through the Platform.
- Your negligence, wilful misconduct, or fraud in connection with your use of the Platform.
- Any claim by a Fan or other user arising from your failure to deliver content or services as promised.
- Any tax assessment, penalty, or obligation arising from your earnings on the Platform.
SGSuperFans reserves the right to assume sole control of the defense of any claim for which indemnification is sought, at your expense. You agree to cooperate fully in such defense. You may not settle any claim that imposes liability or obligation on SGSuperFans without our prior written consent.
24.Dispute Resolution & Arbitration
Informal Resolution: Required First Step
Before initiating any formal legal action, you agree to first notify us in writing at legal@sgsuperfans.com and allow us 30 days to resolve the dispute informally. The notice must describe the nature of the dispute and the relief sought.
Binding Arbitration
If informal resolution fails, all disputes, claims, and controversies arising from or related to these Terms or the Platform shall be finally resolved by binding arbitration administered by the ADR Institute of Canada or the American Arbitration Association (AAA), depending on claimant’s jurisdiction, under their Simplified Arbitration Rules and Procedures, as modified by these Terms. The arbitration shall be:
- Conducted in Toronto, Ontario, Canada (or by video/phone where permitted).
- Administered before a single arbitrator with relevant expertise.
- Confidential: neither party may disclose the existence, content, or results of the arbitration.
- Final: the arbitrator’s award is binding and may be entered as a judgment in any competent court.
Class Action Waiver
Exceptions to Arbitration
The following claims are excluded from arbitration and may be brought in any court of competent jurisdiction: (a) claims seeking emergency injunctive or other equitable relief to prevent imminent irreparable harm; (b) intellectual property claims; (c) claims within the monetary jurisdiction of small claims courts; and (d) any claim that applicable law explicitly prohibits from mandatory arbitration.
Opt-Out
You may opt out of this arbitration agreement by sending written notice to legal@sgsuperfans.com within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms. If you opt out, disputes must be resolved in the courts of Ontario, Canada.
25.Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any conflict of law principles that would require the application of the laws of another jurisdiction.
Courts
For any dispute that is not subject to arbitration, you consent to the exclusive personal jurisdiction and venue of the courts sitting in the City of Toronto, Ontario, Canada, and waive any objection to such jurisdiction and venue on grounds of inconvenient forum or otherwise.
Consumer Protection Laws
Nothing in these Terms limits or excludes your rights under applicable mandatory consumer protection legislation, including the Ontario Consumer Protection Act, 2002, the Competition Act (Canada), or equivalent consumer protection legislation in your jurisdiction. Where there is a conflict between these Terms and mandatory consumer protection laws, those laws shall prevail to the extent required.
International Users
The Platform is operated from Canada. Users outside of Canada access the Platform voluntarily and at their own initiative and are solely responsible for compliance with local laws. Nothing in these Terms constitutes an offer of services in any jurisdiction where such services are prohibited by law.
26.Account Termination & Suspension
Termination by SGSuperFans
SGSuperFans may suspend, restrict, or permanently terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to:
- Any actual or suspected violation of these Terms, our policies, or applicable law.
- Suspicious, fraudulent, or harmful activity.
- Failure to complete identity or age verification upon request.
- A valid request from law enforcement or regulatory authority.
- Legal obligations, court orders, or regulatory compliance requirements.
- Prolonged inactivity (accounts inactive for more than 24 consecutive months).
- Any reason in our sole and absolute discretion.
Effect of Termination
- All licences granted under these Terms are immediately revoked.
- For termination for cause (violation), all pending earnings and wallet balances will be forfeited and may be used to offset damages, chargebacks, or administrative costs.
- For termination without cause, SGSuperFans will make commercially reasonable efforts to pay out earned but unpaid balances after deducting outstanding liabilities.
- All content you uploaded may be deleted after a 30-day grace period, except where retention is required by law or ongoing investigations.
- You remain liable for all obligations incurred before termination, including outstanding payments, chargebacks, and tax reporting obligations.
Termination by You
You may close your account at any time through your account settings. Subscription access remains until the end of any active billing cycle. Outstanding Creator balances will be paid out in accordance with our standard payout schedule, provided your account is in good standing and verification is complete.
27.Modifications to Terms
SGSuperFans reserves the right to modify, update, or replace these Terms at any time at its sole discretion. We will provide notice of material changes by:
- Sending an email to the address registered to your account at least 14 days before the changes take effect (30 days for material changes to payment terms or arbitration provisions).
- Displaying a prominent notice on the Platform homepage and/or your account dashboard.
- Updating the “Last Updated” date at the top of this page.
Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and close your account before the effective date.
28.General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, Creator Agreement (where applicable), and all applicable supplemental policies, constitute the entire agreement between you and SGSuperFans with respect to the Platform and supersede all prior and contemporaneous agreements, understandings, negotiations, and representations.
Severability
If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
No Waiver
SGSuperFans’ failure or delay in exercising any right, power, or remedy under these Terms shall not constitute a waiver of that right, power, or remedy, or any other right. Any waiver must be in writing and signed by an authorized representative of SGSuperFans to be effective.
Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. SGSuperFans may freely assign, transfer, or delegate its rights and obligations under these Terms to any affiliate, successor, or acquirer in a merger, acquisition, asset sale, or by operation of law.
Force Majeure
SGSuperFans shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of God, pandemic, governmental orders, war, terrorism, cyberattacks, internet infrastructure failures, or third-party service provider failures. We will notify users of extended outages (24+ hours) via our official channels.
No Third-Party Beneficiaries
These Terms do not confer any rights, remedies, or benefits on any third party. The parties to these Terms are you and SGSuperFans Inc. only.
