Website Policies

These Website Policies govern how you may access and use the SGSuperFans platform and website. They set out our acceptable use standards, intellectual property rules, disclaimers, liability limitations, and the legal framework that applies to all users. Please read them carefully alongside our Terms of Service and Privacy Policy.

Important Notice: These Website Policies form part of SGSuperFans’s legal framework alongside the Terms of Service, Privacy Policy, Cookie Policy, and Content Creator Agreement. By accessing or using the platform, you agree to all of these documents. In the event of any conflict between these Website Policies and the Terms of Service, the Terms of Service shall prevail.
Platform Access

1.Introduction & Scope

These Website Policies (“Policies”) are published by SGSuperFans Inc. (“SGSuperFans,” “we,” “us,” or “our”), a corporation incorporated under the laws of Ontario, Canada. They apply to every person who accesses or uses:

  • The SGSuperFans website and web application at sgsuperfans.com and all associated subdomains.
  • Any SGSuperFans mobile application available on iOS or Android.
  • Any API, widget, embed, or integration published or operated by SGSuperFans.
  • Any promotional microsite, landing page, or campaign page operated by or on behalf of SGSuperFans.

Who These Policies Bind

These Policies bind all users including unregistered visitors (guests), registered Fans, registered Creators, Managers, business entities accessing the platform through partnerships, and any automated agents, bots, or scripts acting on behalf of a user. “You” and “your” in these Policies refers to any such person or entity.

Relationship to Other Legal Documents

These Policies operate within a suite of legal documents that together constitute the complete agreement between SGSuperFans and its users. The Terms of Service govern your contractual rights and obligations as a user. The Privacy Policy governs how we collect and process personal data. The Cookie Policy governs our use of tracking technologies. The Content Creator Agreement contains the specific terms for Creator accounts. These Website Policies focus on acceptable use standards, platform rules, intellectual property, and general legal protections applicable to all users simply by virtue of accessing the platform.

Your access to or use of any part of the platform constitutes your unconditional agreement to these Policies. If you do not agree, you must immediately cease all use of the platform.

Platform Access

2.Platform Access & Eligibility

Access to SGSuperFans is subject to the following eligibility requirements, which are mandatory and non-negotiable conditions of use.

Age Requirement

SGSuperFans is an 18+ platform that distributes adult-oriented content. You must be at minimum 18 years of age, or the age of majority in your jurisdiction if that is higher, to access or use any part of the platform. By accessing the platform, you represent and warrant that you meet this age requirement. We deploy age verification technology and actively work to prevent access by minors. If we determine that you are under 18, your account will be immediately suspended and all associated data deleted.

Geographic Restrictions

SGSuperFans may not be available in all countries or territories. Access from jurisdictions where adult content platforms are prohibited by law is not permitted. You are solely responsible for ensuring that your access to and use of SGSuperFans complies with all laws applicable in your jurisdiction, including laws regarding the possession or distribution of adult content. SGSuperFans reserves the right to refuse service to users in any jurisdiction at our discretion, with or without notice. A current list of restricted jurisdictions is available upon request from legal@sgsuperfans.com.

Grant of Access

Subject to your agreement with all applicable SGSuperFans policies and the continued accuracy of any representations you have made, SGSuperFans grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the platform for its intended purposes. This license does not constitute a sale of any rights in the platform or its content.

Conditions That Void Access Rights

  • Providing false or misleading information during registration or verification.
  • Attempting to access the platform after having been suspended or permanently banned.
  • Using the platform from a jurisdiction where it is legally prohibited.
  • Being under the age of 18 at the time of access.
  • Accessing the platform on behalf of a person who is under 18 or whose account has been terminated.
Platform Access

3.Account Security & Responsibilities

Registered users are responsible for all activity that occurs under their account. This responsibility exists regardless of whether you authorized the activity.

Credential Management

  • You must keep your password confidential and not disclose it to any third party under any circumstances.
  • You must not use a password that is commonly known, easily guessed, or that you use for other services.
  • We strongly recommend enabling multi-factor authentication (“MFA”). Accounts without MFA enabled may be treated as a heightened security risk during our fraud detection reviews.
  • You may not share your login credentials with any other person, even a trusted individual such as a manager or assistant. Managers should use the designated Manager account feature.
  • You must notify us immediately at security@sgsuperfans.com if you suspect any unauthorized use of your account.

Account Integrity

  • Each person may hold only one Fan account and one Creator account. Operating multiple accounts of the same type to evade bans, accumulate referrals fraudulently, or manipulate platform metrics is a material breach of these Policies.
  • You must not allow any other person or automated system to access the platform using your credentials.
  • You must not purchase, sell, rent, lend, or transfer your account or any associated credits, subscriptions, or content access rights to another person.

Device & Network Security

You are solely responsible for the security of the devices and networks you use to access the platform. We recommend that you:

  • Keep your device operating system and browser software up to date with security patches.
  • Avoid accessing the platform from public Wi-Fi networks without using a virtual private network (“VPN”).
  • Use a device with current antimalware protection active.
  • Log out of the platform when accessing from a shared or public device.
SGSuperFans will never ask for your password via email, chat, or telephone. Any communication claiming to require your password is a phishing attempt. Report it to security@sgsuperfans.com immediately.
Platform Access

4.Website Availability & Service Levels

SGSuperFans operates a live streaming, video-on-demand, and social commerce platform that processes real-time financial transactions and time-sensitive content delivery. While we are committed to providing a reliable service, you acknowledge the following regarding service availability.

Availability Target

We target a platform availability rate of 99.5% measured on a rolling 30-day basis, excluding scheduled maintenance windows and force majeure events. This target is an operational goal and not a contractual commitment or service level guarantee. A failure to meet this target does not give rise to any claim for compensation or damages.

Maintenance Windows

  • Scheduled maintenance is typically conducted during overnight hours in the Eastern Time zone and will be announced at least 48 hours in advance through in-platform notifications and the SGSuperFans status page.
  • Emergency maintenance required to address critical security vulnerabilities, active attacks, or infrastructure failures may be performed without advance notice.
  • SGSuperFans will make commercially reasonable efforts to minimize the duration of planned and unplanned maintenance windows.

Nature of Potential Interruptions

Service interruptions may occur due to any of the following, none of which shall constitute a breach of these Policies or give rise to any liability:

  • Third-party infrastructure failures including cloud hosting providers, content delivery networks, and payment processors.
  • Distributed denial-of-service (“DDoS”) attacks or other malicious traffic events.
  • Internet service provider outages beyond our network boundary.
  • Acts of God, natural disasters, pandemics, or other force majeure events.
  • Government-mandated shutdowns or legal orders requiring suspension of service.

No Financial Compensation for Downtime

We do not provide service credits, subscription refunds, fee waivers, or any other financial compensation for service interruptions except where expressly required by applicable consumer protection law. Creators who experience verifiable revenue loss due to a platform outage caused solely by our negligence may apply for review through our Creator Support team; such reviews are conducted on a case-by-case basis and any remediation offered is entirely at our discretion.

5.Prohibited Activities

The following activities are strictly prohibited on SGSuperFans. Engaging in any of them constitutes a material breach of these Policies and may result in immediate account suspension or permanent termination, forfeiture of any outstanding balance, civil liability, and referral to law enforcement authorities.

Financial & Transactional Misconduct

Chargeback Fraud

Initiating fraudulent chargebacks after receiving access to purchased content or services. This constitutes theft and is prosecuted criminally in Canada and internationally.

Payment Fraud

Using stolen, cloned, or unauthorized payment methods to purchase subscriptions, tips, PPV content, live event tickets, or any other paid service.

Referral Manipulation

Gaming or abusing the Creator or Fan referral program through self-referrals, fake account sign-ups, or any scheme designed to generate artificial referral commissions.

Money Laundering

Using the platform to launder proceeds of crime, circumvent financial reporting obligations, or evade anti-money-laundering (“AML”) controls.

Platform & System Abuse

  • Accessing, probing, or testing any part of the platform’s infrastructure without explicit written authorization from SGSuperFans’s security team.
  • Attempting to gain unauthorized access to another user’s account, private messages, financial data, or personal information.
  • Uploading or transmitting any malware, ransomware, spyware, trojan horses, worms, or other malicious code.
  • Conducting or facilitating phishing attacks, social engineering campaigns, or credential harvesting targeting SGSuperFans users or staff.
  • Disrupting, degrading, or interfering with the platform’s availability or performance for other users, including through volumetric attacks.
  • Circumventing any geoblocking, age gate, content restriction, or paywall mechanism implemented on the platform.
  • Creating or using any tool, script, or program to artificially inflate engagement metrics such as views, likes, follows, or subscriber counts.

Harassment & Harm

  • Harassing, threatening, intimidating, or stalking any Creator, Fan, Manager, or SGSuperFans employee.
  • Doxxing: disclosing, without consent, the real identity, location, workplace, or personal contact information of any platform user.
  • Organizing coordinated campaigns to harass, deplatform, or economically harm any Creator or Fan.
  • Soliciting or encouraging self-harm or suicide by any platform user.

Legal & Regulatory Violations

  • Using the platform to facilitate any activity that is illegal in Ontario, Canada, or in the user’s own jurisdiction.
  • Attempting to use the platform to evade applicable tax obligations, including by concealing the true nature or volume of transactions.
  • Violating any applicable sanctions regime, including those administered by the Office of the Superintendent of Financial Institutions (Canada) or OFAC (United States).
Acceptable Use

6.Prohibited Content Standards

SGSuperFans is an adult content platform that permits sexually explicit material produced and distributed by consenting adult Creators. However, our permitted content is defined by strict legal and ethical limits. The following categories of content are absolutely prohibited and will result in immediate account termination and mandatory reporting to law enforcement.

Zero Tolerance: Child sexual abuse material (“CSAM”) and content depicting or facilitating violence against minors will be immediately reported to the National Center for Missing and Exploited Children (“NCMEC”) and the Canadian Centre for Child Protection, as required by law. No exceptions apply.

Absolutely Prohibited Content (No Exceptions)

  • Child Sexual Abuse Material: Any content, including drawn, animated, or written content, that sexualizes persons under the age of 18. Content that depicts actors who appear to be under 18 in a sexual context is prohibited regardless of the claimed age of the performer.
  • Non-Consensual Intimate Imagery (“NCII”): Any content depicting real persons in a sexual context without their documented, informed, and ongoing consent. This includes recordings made without a person’s knowledge, “revenge porn,” and deepfake sexual imagery of real individuals.
  • Violence, Torture, or Snuff: Any content glorifying, celebrating, or depicting real acts of violence, torture, mutilation, or killing of humans or animals for entertainment purposes.
  • Content Facilitating Human Trafficking: Any content that solicits, recruits, harbors, transports, or exploits persons for sexual or labor trafficking purposes.
  • Incest Content: Content depicting sexual acts between blood relatives, whether real or simulated.
  • Bestiality: Content depicting sexual acts involving animals.

Additionally Prohibited Content

  • Content that constitutes criminal defamation, harassment, or utters threats against any identified or identifiable person.
  • Content promoting, glorifying, or instructing on hate crimes, genocide, or acts of terrorism.
  • Content that infringes the intellectual property rights of any third party without authorization, including the use of copyrighted music, video, or images without a license.
  • Unsolicited commercial messages, pyramid schemes, or fraudulent investment solicitations directed at other platform users.
  • Content designed to impersonate another person, brand, or public figure in a misleading or deceptive manner.
  • Any content that a Creator has not obtained valid consent from all depicted persons to produce and distribute.

Content Documentation Requirement

All Creators uploading or live-streaming adult content must maintain written consent documentation for all persons depicted, as required by the U.S. PROTECT Act Section 2257, Canada’s Criminal Code provisions, and equivalent laws. SGSuperFans reserves the right to request proof of consent documentation at any time and to remove content pending verification.

Acceptable Use

7.Automated Access & Data Scraping

The SGSuperFans platform, including all its pages, APIs, data feeds, creator profiles, content listings, pricing structures, user data, and platform metrics, is proprietary and protected by copyright, database rights, trade secret law, and contractual protections. Unauthorized automated access is strictly prohibited.

What Is Prohibited Without Written Authorization

  • Using any bot, crawler, spider, scraper, automated script, browser extension, or any other automated means to access, index, copy, harvest, or extract any content, data, or information from the platform.
  • Using techniques such as high-frequency API polling, session token harvesting, or man-in-the-middle proxying to extract data that is not provided through our official API documentation.
  • Aggregating or republishing Creator profile information, content descriptions, pricing data, or engagement metrics obtained from the platform for commercial or competitive purposes.
  • Building, training, or improving any artificial intelligence model, machine learning dataset, or large language model using content scraped from the platform without a valid commercial data license agreement.
  • Circumventing rate limits, CAPTCHAs, IP blocks, or other access throttling mechanisms implemented to protect the platform.

API Policy

SGSuperFans may in the future offer an official API program for authorized developers and business partners. Access to any official API will be subject to separate API Terms of Use and rate limits. Reverse-engineering the platform’s internal API is prohibited regardless of whether a public API program is available.

Permitted Access

Standard search engine indexing of public-facing, non-gated pages is permitted within the scope defined in our robots.txt file and subject to reasonable crawl rate limits. Search engines must honor Crawl-Delay and Disallow directives in our robots.txt. Requests to expand indexing permissions may be submitted to seo@sgsuperfans.com.

Enforcement

Unauthorized automated access may result in immediate IP blocking, legal proceedings under applicable computer fraud statutes (including Canada’s Criminal Code sections 342.1, 430, and the Computer Fraud and Abuse Act where applicable), and claims for damages including loss of business, cost of remediation, and disgorgement of any profits derived from unlawfully obtained data.

8.Security & Responsible Disclosure

SGSuperFans takes platform security seriously. We recognize that independent security researchers provide valuable contributions to our security posture when acting responsibly and in good faith. We operate a Responsible Disclosure Policy to facilitate this cooperation while protecting our users and infrastructure.

Our Security Commitments

  • We implement industry-standard security practices including encryption at rest and in transit, principle of least privilege access controls, and regular third-party penetration testing.
  • All payment data processing is delegated to PCI-DSS compliant processors. We do not store raw card numbers on our systems.
  • We maintain a security incident response plan and will notify affected users of material breaches within the timeframes required by applicable law (72 hours under GDPR; as soon as practicable under PIPEDA; 72 hours under Quebec Law 25 where risk of serious injury exists).
  • We conduct background screening and access controls for employees and contractors who handle sensitive user data.

Responsible Disclosure (Bug Bounty)

If you discover a potential security vulnerability in the SGSuperFans platform, we invite you to report it responsibly:

  • Email your findings to security@sgsuperfans.com with the subject line “Security Disclosure.” Use PGP encryption where available.
  • Include a clear description of the vulnerability, the steps to reproduce it, and the potential impact.
  • Do not publicly disclose the vulnerability until we have had a minimum of 90 days to investigate and remediate.
  • Do not access, modify, exfiltrate, or destroy any user data beyond the minimum necessary to demonstrate the vulnerability.
  • Do not conduct denial-of-service testing or social engineering attacks on our staff or users.

Researchers who comply with these guidelines will not be subject to legal action for their good-faith security research. We may offer recognition or compensation for qualifying disclosures at our discretion, subject to our assessment of severity and impact.

Any security testing conducted outside of this Responsible Disclosure framework, regardless of the tester’s intent, may be treated as unauthorized access and prosecuted accordingly.
IP & Content

9.Our Intellectual Property

The SGSuperFans platform and all of its constituent elements are the exclusive intellectual property of SGSuperFans Inc. or our licensors. This protection is broad, comprehensive, and aggressively enforced.

What We Own

  • Trademarks: The “SGSuperFans” name, logo, wordmark, taglines, and any other brand identifiers we use are our registered or common-law trademarks. Unauthorized use of these marks is prohibited.
  • Platform Software: All source code, object code, algorithms, data structures, database schemas, API designs, and related software that powers the platform are protected by copyright and trade secret law.
  • Platform Design: The visual design, user interface layout, color schemes, typography, icons, animations, and overall look and feel of the platform are protected as artistic works under copyright law.
  • Original Content: Marketing materials, help articles, legal documents, blog posts, training content, and any other original content created by SGSuperFans staff and published on the platform are protected by copyright.
  • Compilations and Databases: Our aggregated datasets, Creator directories, trending content indexes, and recommendation engine outputs are protected as compilations and database rights where applicable.

What You Are Not Permitted to Do

  • Copy, reproduce, distribute, publicly display, or create derivative works from any SGSuperFans intellectual property without our express written consent.
  • Use our trademarks in any way that suggests an endorsement, affiliation, or partnership with SGSuperFans without a signed agreement.
  • Decompile, disassemble, reverse engineer, or attempt to derive the source code of any part of the platform.
  • Remove, alter, or obscure any copyright notices, trademark symbols, or proprietary legends from any part of the platform.
  • Use SGSuperFans’s name, logo, or brand assets in any press release, social media post, or marketing material without our prior written approval.
IP & Content

10.User-Generated Content License

When you upload, post, publish, stream, or otherwise contribute any content to the SGSuperFans platform (“User Content”), you grant us a license to that content as described below. You retain ownership of your User Content.

License Grant to SGSuperFans

By posting User Content on SGSuperFans, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

  • Host, store, cache, and technically process your content to enable platform delivery including transcoding, compression, CDN distribution, and thumbnail generation.
  • Display your content to users who have the appropriate access rights (subscribers, PPV purchasers, etc.) as configured by you.
  • Use your username, profile name, and profile photo in connection with the display and promotion of your content on the platform.
  • Create preview thumbnails or short promotional clips from your content for display in recommendation feeds, subject to your privacy settings.
  • Archive, back up, and restore your content in connection with our normal backup and disaster recovery operations.

What We Do Not Do With Your Content

  • We do not sell your User Content to third parties.
  • We do not license your User Content to third-party platforms without your consent.
  • We do not use private, subscriber-only, or PPV content in any promotional material without your explicit written consent.
  • We do not use your User Content to train artificial intelligence or machine learning models without a separate, paid data license agreement that you have signed.

Representations You Make About Your Content

By posting User Content, you represent and warrant that:

  • You own all rights in the content or have obtained all necessary rights, licenses, and permissions required to post it on SGSuperFans.
  • Your content does not infringe any third party’s intellectual property rights, privacy rights, publicity rights, or any other rights.
  • All persons depicted in your content have provided their informed, explicit, freely given, and ongoing consent to appear in that content and to have it distributed on an adult content platform.
  • All persons depicted in your content are at least 18 years of age and you hold age verification documentation for each such person.
  • Posting your content on SGSuperFans does not violate any confidentiality agreement, non-disclosure agreement, or court order binding you.
IP & Content

11.Copyright Infringement & DMCA

SGSuperFans respects intellectual property rights and expects all users to do the same. We respond to notifications of alleged copyright infringement in compliance with the Digital Millennium Copyright Act (“DMCA”), Canada’s Notice-and-Notice regime under the Copyright Act, and equivalent legislation in other jurisdictions.

Reporting Infringement

If you believe that your copyrighted work has been reproduced on the SGSuperFans platform without authorization, please submit a formal notice to our designated copyright agent containing the following:

  1. 1A physical or electronic signature of the copyright owner or their authorized representative.
  2. 2Identification of the copyrighted work claimed to have been infringed, or a representative list if multiple works are covered.
  3. 3Identification of the infringing material on the platform with sufficient detail for us to locate it (URL, Creator username, content description).
  4. 4Your contact information, including name, address, telephone number, and email address.
  5. 5A statement that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  6. 6A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

Counter-Notice Process

If you believe content was removed from your account due to a mistaken or erroneous DMCA notice, you may submit a counter-notice to our Copyright Agent. A valid counter-notice must include your contact information, identification of the removed content and its prior location, a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake, your consent to the jurisdiction of the federal court in the applicable district, and your signature.

Repeat Infringer Policy

SGSuperFans operates a three-strike repeat infringer policy. Accounts that receive three valid DMCA takedown notices within any 24-month period will be permanently terminated and ineligible for reinstatement. Outstanding balances may be forfeited.

Canada’s Notice-and-Notice Regime

Under Canada’s Copyright Act (sections 41.25 to 41.27), internet service providers including hosting platforms are required to forward infringement notices to allegedly infringing users. SGSuperFans complies with this regime. Receipt of a notice does not constitute a finding of infringement and does not obligate us to disclose user identity without a court order.

IP & Content

12.Trademark Use Policy

SGSuperFans’s name, logos, and other brand assets are valuable trademarks that distinguish our platform and services in the marketplace. The following guidelines govern how you may and may not use these assets.

Permitted Uses

  • Creators may identify themselves as “a Creator on SGSuperFans” or “available on SGSuperFans” in their own promotional materials, provided such use is accurate and not misleading.
  • Press and media organizations may use our name and logo in editorial coverage in accordance with our Press Kit, available upon request from press@sgsuperfans.com.
  • Partners who have signed a written co-marketing agreement may use our approved brand assets within the scope and format defined in that agreement.

Prohibited Uses

  • Using our trademarks or confusingly similar marks as your own brand name, product name, domain name, or social media handle.
  • Modifying, distorting, recoloring, or combining our logo with other imagery without written consent.
  • Using our trademarks in any way that implies an official partnership, endorsement, or investment relationship that does not exist.
  • Registering domain names, social media accounts, or business names that incorporate our trademarks without authorization.
  • Using our trademarks in paid search advertising, meta tags, or SEO practices designed to divert traffic from our platform.

Trademark infringement or dilution will be met with legal action including injunctive relief, damages, and costs. To request written permission for use not covered above, email trade@sgsuperfans.com.

Liability

13.No Warranty Disclaimer

To the fullest extent permitted by applicable law, SGSuperFans provides the platform and all its services, content, and features on an “as is” and “as available” basis, without any representation or warranty of any kind, express, implied, statutory, or otherwise.

Disclaimed Warranties Include Without Limitation

  • Merchantability: We do not warrant that the platform is of merchantable quality or fit for any particular purpose you have in mind.
  • Fitness for Purpose: We do not warrant that the platform will meet your specific requirements or that any particular feature will be available at any given time.
  • Accuracy: We do not warrant that any information, data, analytics, or Creator metrics displayed on the platform are accurate, complete, current, or reliable. All statistics, revenue projections, and performance data are provided for informational purposes only.
  • Uninterrupted Service: We do not warrant that access to the platform will be continuous, uninterrupted, timely, or secure.
  • Freedom from Viruses or Harmful Code: We do not warrant that the platform or any content available through it is free from viruses, malicious code, or other technologically harmful material, noting that user-generated content is uploaded by third parties.
  • Third-Party Services: We do not warrant the quality, performance, availability, or suitability of any third-party services integrated with or accessible through the platform.

Creator Earnings Are Not Guaranteed

Nothing in SGSuperFans’s marketing materials, blog posts, case studies, Creator success stories, or promotional content constitutes a representation or guarantee that any Creator will earn any particular amount of income on the platform. Creator earnings depend on many factors outside our control, including the Creator’s content quality, posting frequency, marketing efforts, and the engagement of their community.

Jurisdiction-Specific Rights

Certain jurisdictions do not allow the exclusion of implied warranties. If you are located in such a jurisdiction, some of the above exclusions may not apply to you to the extent required by law. In Quebec, the Consumer Protection Act may grant rights that cannot be contracted out of for consumer contracts; those rights are not affected by this disclaimer.

Liability

14.Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall SGSuperFans Inc., its directors, officers, employees, agents, affiliates, licensors, suppliers, or service providers be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, however caused and under any theory of liability, including but not limited to:

  • Loss of profits, revenue, income, or business opportunities, whether actual or anticipated.
  • Loss of data, loss of goodwill, or loss of access to content.
  • Costs of procuring substitute goods or services.
  • Business interruption, loss of commercial advantage, or increase in operating costs.
  • Damage to reputation arising from content posted by third-party users.
  • Personal injury or emotional distress arising from interactions with other users.
  • Any loss arising from unauthorized access to or alteration of your account or content.

Aggregate Cap on Liability

In all cases, SGSuperFans’s total aggregate liability to you for all claims arising out of or relating to your use of the platform, regardless of the form of action, shall not exceed the greater of:

When This Cap Does Not Apply

The cap on liability described above does not apply to:

  • Liability for death or personal injury caused by our gross negligence or willful misconduct.
  • Liability for fraud or fraudulent misrepresentation by SGSuperFans.
  • Any liability that cannot be limited by law in your jurisdiction (for example, statutory consumer protection rights in Quebec or under Ontario’s Consumer Protection Act).
The limitations in this Section reflect a reasonable allocation of risk between SGSuperFans and you and are a fundamental element of the basis on which we provide the platform. The platform would not be commercially viable without these limitations.
Liability

15.Indemnification

You agree to defend, indemnify, and hold harmless SGSuperFans Inc. and its directors, officers, employees, agents, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  1. 1Your violation of any provision of these Policies, the Terms of Service, or any other applicable SGSuperFans policy.
  2. 2Your User Content, including any claim that your content infringes a third party’s intellectual property rights, violates their privacy or publicity rights, constitutes defamation, or violates any applicable law.
  3. 3Your violation of any applicable law, regulation, or third-party right, including any privacy law or consumer protection law.
  4. 4Any misrepresentation you make to SGSuperFans, another user, or any third party in connection with your use of the platform.
  5. 5Your failure to obtain required consents from depicted persons, to maintain required content documentation, or to comply with applicable age verification obligations.
  6. 6Any financial fraud, chargeback abuse, payment manipulation, or other dishonest conduct you engage in on or in connection with the platform.
  7. 7Your access to or use of the platform from a jurisdiction where doing so is prohibited or in violation of applicable law.

Indemnification Process

SGSuperFans will promptly notify you of any indemnifiable claim and will reasonably cooperate in the defense. You may not settle any claim that imposes any obligation on or adversely affects SGSuperFans without our prior written consent, which shall not be unreasonably withheld. We reserve the right to assume exclusive control of the defense at our own expense at any time.

16.Third-Party Links & Integrations

The SGSuperFans platform contains links to third-party websites, social media platforms, payment processors, and external service providers. We also integrate with third-party services to deliver platform functionality.

Third-Party Websites

Links from the platform to external websites are provided for convenience only. We do not endorse any linked website, its content, its operators, or any products or services offered on it. We have no control over external websites and are not responsible for:

  • The privacy practices, security measures, or content of any third-party website.
  • Any loss or damage you may suffer as a result of visiting or transacting with a third-party website accessed via a link from our platform.
  • The availability, accuracy, or reliability of information on third-party websites.

Your interactions with third-party websites are governed exclusively by those websites’ own terms and privacy policies. We encourage you to review the privacy policy and terms of use of any external site you visit.

Third-Party Service Integrations

The platform integrates with third-party services including payment processors, identity verification providers, video delivery infrastructure, customer support tools, and analytics platforms. While we carefully select and contractually bind our third-party processors to protect your data, we cannot accept liability for interruptions, errors, security incidents, or other failures attributable solely to those third-party services.

Creator-Linked External Content

Creators may link to their external social media profiles, personal websites, or other platforms in their SGSuperFans profiles. SGSuperFans does not review, monitor, or accept responsibility for any content on those external destinations. Any disputes arising from Fan interactions with a Creator’s external platforms are solely between the Fan and the Creator.

Legal Framework

17.Governing Law & Jurisdiction

These Website Policies and all disputes arising out of or related to them or your use of the SGSuperFans platform shall be governed by, and construed in accordance with, the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Primary Jurisdiction for Litigation

Subject to the dispute resolution provisions in Section 18, the courts of Ontario, Canada shall have non-exclusive jurisdiction over any court proceedings arising out of these Policies or your use of the platform. You irrevocably submit to the personal jurisdiction of those courts for this purpose and waive any objection to venue in those courts.

Mandatory Arbitration for Certain Claims

For users located in jurisdictions where mandatory arbitration clauses are enforceable, certain categories of claims may be subject to binding individual arbitration as set out in Section 18 of these Policies.

Consumer Protection Legal Rights

Nothing in this governing law clause is intended to deprive you of any mandatory consumer protection rights that you are entitled to under the law of your ordinary residence. The following mandatory rights are preserved:

  • Quebec residents: Quebec’s Consumer Protection Act and Civil Code grant consumer rights that apply regardless of a governing law clause. Quebec courts have jurisdiction to hear consumer disputes. Nothing in this clause removes those rights.
  • EU residents: If you are a consumer in the European Union, mandatory consumer protection laws in your country of residence apply in addition to Ontario law, and you may pursue claims in your local courts to the extent permitted under EU Regulation 1215/2012.
  • UK residents: UK consumer protection legislation including the Consumer Rights Act 2015 applies to any goods or services contract where you are a UK consumer.
  • California residents: Your rights under California law, including CCPA/CPRA, are preserved. You have the right to bring claims under CCPA/CPRA in California courts.

18.Dispute Resolution

We prefer to resolve disputes through direct communication before resorting to formal proceedings. If you have a dispute with SGSuperFans, please follow the steps below.

Step 1: Informal Resolution (Mandatory Pre-Condition)

Before initiating any formal legal proceeding, you must first attempt to resolve the dispute informally by:

  1. 1Submitting a written description of the dispute to legal@sgsuperfans.com, including your account username, a description of the issue, and the relief you are seeking.
  2. 2Allowing SGSuperFans 30 days from receipt of your notice to respond and attempt to resolve the dispute in good faith.

This informal resolution requirement is a mandatory pre-condition to any formal proceeding. Courts may dismiss proceedings initiated without complying with this requirement.

Step 2: Mediation

If the informal resolution process does not resolve the dispute within 30 days, either party may request non-binding mediation administered by a mutually agreed mediator or by the ADR Institute of Canada. The cost of mediation shall be shared equally unless otherwise ordered. Mediation sessions may be conducted virtually.

Step 3: Binding Arbitration (Where Applicable)

For users in jurisdictions where binding arbitration is enforceable (which does not include Quebec consumers), disputes that cannot be resolved through mediation shall be submitted to binding individual arbitration administered by the ADR Institute of Canada under its applicable rules. Key terms of the arbitration agreement are:

  • Venue: Arbitration shall be conducted in Toronto, Ontario, Canada, or virtually at the arbitrator’s discretion.
  • Language: Proceedings shall be conducted in English unless both parties agree otherwise.
  • Individual Claims Only: Arbitration shall proceed on an individual basis. Class action arbitration and consolidation of claims are not permitted.
  • Costs: Filing fees shall be shared equally. Each party shall bear its own legal costs unless the arbitrator awards costs due to frivolous claims or misconduct.
  • Governing Procedural Rules: The ADR Institute of Canada’s Simplified Arbitration Rules (for claims under CAD $100,000) or National Arbitration Rules (for larger claims) shall apply.

Class Action Waiver

To the fullest extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against SGSuperFans. This waiver does not apply in Quebec or in any other jurisdiction where class action waivers are unenforceable.

Small Claims Court Rights Preserved

Nothing in this Section prevents either party from bringing an eligible claim in a small claims court of competent jurisdiction. SGSuperFans will not compel arbitration for claims that properly fall within small claims court jurisdiction.

SGSuperFans is committed to making our platform accessible to people of all abilities, including those with visual, auditory, motor, cognitive, and other disabilities. We believe that access to digital content and economic opportunities should not be limited by disability.

Our Accessibility Standards

We target compliance with the Web Content Accessibility Guidelines (“WCAG”) 2.1 Level AA as our baseline standard, consistent with our obligations under Ontario’s Accessibility for Ontarians with Disabilities Act (“AODA”) and its Information and Communications Standard. This means we work to ensure that:

  • All non-decorative images include descriptive alt text for users of screen readers.
  • All interactive elements including buttons, forms, navigation menus, and modals are accessible via keyboard navigation.
  • Color contrast ratios for text meet the WCAG 2.1 AA minimum of 4.5:1 for normal text and 3:1 for large text.
  • Video content includes optional closed captions.
  • Time-limited content provides users with sufficient time to interact, with the ability to extend.
  • Error messages are descriptive and guide users on how to correct issues.

20.Changes & Contact

Changes to These Policies

SGSuperFans reserves the right to modify these Website Policies at any time and for any reason. We will notify you of material changes through one or more of the following methods:

  • An in-platform notification displayed when you next log in.
  • An email notification to the address registered to your account.
  • A banner notice on the platform homepage.

Non-material changes (such as typographical corrections, clarifications, or structural reorganization without substantive content change) may be made without advance notice. The “Last Updated” date at the top of this page will reflect the date of the most recent revision.

Your continued use of the platform following the effective date of any material change constitutes your acceptance of the revised Policies. If you do not agree with a material change, you must cease use of the platform and may close your account. All prior contractual rights arising before the effective date of any amendment are preserved.

Severability

If any provision of these Policies is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from the Policies if modification is not possible. The remaining provisions shall continue in full force and effect. A court’s finding that any provision is unenforceable shall not affect the enforceability of any other provision.

Waiver

No waiver by SGSuperFans of any breach of these Policies by you shall be construed as a waiver of any subsequent or continuing breach. Our failure to exercise or enforce any right under these Policies shall not operate as a waiver of that right.

Entire Agreement

These Policies, together with the Terms of Service, Privacy Policy, Cookie Policy, Content Creator Agreement (for Creator accounts), and any applicable partnership agreements, constitute the entire agreement between you and SGSuperFans with respect to the subject matter herein and supersede all prior agreements, communications, negotiations, and representations, whether oral or written.
